A day in the life of Senior Counsel, Securities & Cap Markets at VF looks a little like this.
As Senior Corporate Counsel at VF, you will handle a variety of engaging legal issues alongside an accomplished and supportive team of colleagues around the globe, enabling some of the worlds most beloved and iconic brands. You will make a difference for our 30,000+ employees, our shareholders and our millions of consumers by supporting VF’s efforts to provide exceptional disclosure to investors and other stakeholders, ensuring compliance with public company regulations, facilitating strategic business transactions including debt and capital markets offerings, implementing strong governance practices, and ensuring that we manage risk appropriately. - Build strong relationships with internal and external stakeholders, serving as a trusted advisor and valued teammate
- Prepare and review SEC filings, such as Section 16 filings, 8-Ks, 10-Qs, 10-Ks and proxy statements
- Advise on disclosure matters and stock exchange, SEC, and corporate legal requirements
- Coordinate the planning and execution of the annual shareholders meeting
- Assist with communications and investor relations, including the review of press releases and investor communications, including sustainability communications
- Manage shareholder and stakeholder engagement on environmental, sustainability and governance topics
- Handle corporate governance matters and documentation, including the preparation of resolutions, consents, minutes and memoranda
- Support complex finance transactions, including capital markets and M&A transactions
- Provide legal support to the equity administration team relating to shareholder inquiries, equity plans, Rule 10b5-1 trading plans, the administration of the insider trading policy, and related matters
- Understand governance requirements around environmental, sustainability and governance topics
- Manage the legal compliance framework for securities policies and mandatory environmental and sustainability disclosures, including sustainability commitments, goals and targets
- Provide legal advice and guidance to business leaders on matters of corporate law, advising business leaders with strategies to mitigate risk
- Support other matters as needed, including subsidiary and legal entity management, real estate, global supply chain, indirect procurement, international tax, and cybersecurity
- Support the business leaders, colleagues, and other stakeholders to recognize and manage risks, employ risk-mitigation strategies, advise on regulatory and contractual compliance, and assist with various operational and office management matters
- Stay up to date on new legal and company policies, regulations, trends, and procedures relating to corporate law and corporate governance
What do you need to succeed?
We all have unique skills that we bring to work and celebrate every day. For this role, there are foundation skills you’ll need to succeed and excel. Additionally, we are looking for 8 years of experience as attorney at reputable law firm or combination of reputable law firm and in-house, with at least 4 years of experience focused specifically on public company reporting and compliance, capital markets, corporate law and corporate governance
The foundation skills you will need in this position are:
- Juris Doctor (“JD”) degree with demonstrated strong academic performance from a top-tier, ABA-accredited law school
- A good sense of humor, ability to laugh at oneself, and desire to have fun at work!
- Responsible and highly conscientious, with a very strong work ethic and diligent attention to detail
- Highly self-motivated and responsive to the needs of colleagues and stakeholders
- Demonstrated record of resourcefulness, taking initiative, and readily accepting responsibility for delivering results
