The EMEA Tax team is building to work with other corporate functions on tax advisory, planning, structuring, and tax controversy. We ensure compliance with direct and indirect tax and solve tax related issues.
About the opportunity
- The Senior Manager, EMEA M&A International Tax has primary accountability for third party transactions as well as internal reorganizations and integration and international tax matters as they affect the EMEA region.
- Lead and coordinate tax structuring for mergers, acquisitions, divestitures, joint ventures, and reorganizations across EMEA.
- Provide expert guidance on cross-border tax implications and risks related to M&A activity.
- The role will interact with teams such as tax, corporate development, corporate finance, treasury, legal, and is responsible for supporting tax due diligence and structuring involved with EMEA, non-EMEA transactional activity throughout the transaction lifecycle.
- Engage with regional tax authorities and external advisors to ensure tax compliance and efficiency.
- This role also serves as subject matter expert for international taxation across the Company and works to develop and execute tax strategy that supports the key objectives for the Company.
- Monitor legislative changes and their potential impact on transaction structuring.
- Support internal policy development and process improvements within the tax function.
- The Senior Manager has a pivotal role, working closely with the EMEA Head of Tax, Global Tax, Investors/Shareholders to drive strategic acquisitions, investments, and restructurings across the EMEA region.
Responsibilities:
- Manage EMEA international tax matters related to group structuring considerations and investments.
- Provide tax-related due diligence support when the company is evaluating investments and mergers and acquisitions opportunities (including working with the transfer pricing team to manage acquisition integrations and IP migrations).
- Support project management/drive legal step plan implementations of planning solutions, handle communications with internal teams and maintain appropriate documentation supporting transactional activity.
- Work closely with Tax leaders and advisors in conducting detailed financial, tax technical and business analyses to identify potential tax issues/risks, determine root causes and recommend appropriate solutions aligned with acceptable risk levels and to ensure the most efficient tax structure is being utilized.
