Corporate Governance Specialist (Paralegal)
Location: Richmond, VA, USA - 9954 Mayland Drive (hybrid)

The McKesson Medical-Surgical Inc. (MMS) Legal Department is seeking an experienced, highly organized Corporate Governance Specialist to join its Corporate Governance & Strategic Transactions (CG&ST) pillar.
The role reports to the Managing Principal Counsel, CG&ST. This role primarily will support the Company’s Board of Directors and Committee governance and operations, as well as entity management. In addition, the successful candidate will help build the governance infrastructure, processes, and controls necessary to operate as an independent public company.
What You’ll Do
Lead coordination of agendas and preparation and publication of materials for MMS and subsidiary Board meetings and MMS Committee meetings
Administer and continuously improve the Company’s Board portal and governance technology platforms to support efficient and secure Board and Committee communications
Draft minutes, resolutions, written consents, and other corporate governance documents
Establish and maintain governance policies, procedures, and controls to support public-company readiness and ongoing governance compliance
Manage director onboarding, questionnaires, and governance processes
Serve as a trusted liaison among directors, executives, legal leadership, external advisors, and internal stakeholders, helping ensure effective communication and governance execution
Lead enterprise entity-management activities and maintain accurate records for domestic and international subsidiaries, including entities established in connection with corporate restructuring, separation, acquisition, and financing activities
Manage the company’s entity management system
Coordinate with registered agents, outside counsel, tax, finance, and other stakeholders to maintain legal-entity compliance across applicable domestic and international jurisdictions
Support Securities-law and public-company governance activities, including SEC filings, disclosure processes, and Board-related reporting requirements
Minimum Requirements
Degree or equivalent and typically requires 4+ years of relevant experience in corporate governance at an NYSE or Nasdaq-listed Fortune 500 company.
Critical Skills & Experience
Proficient in communicating with executives, directors, shareholders, and other stakeholders.
Efficiency in working both independently and collaboratively, with a proven record of building strong working relationships in a matrixed enterprise environment.
High level facilitation, problem-solving, and project management skills, with the ability to adapt to changing circumstances, assess priorities, and achieve solutions under deadlines.
Excellent judgment in identifying, synthesizing, and raising issues to leaders for resolution.
Ability to handle multiple requests, assess priorities, and achieve solutions under deadlines with minimal supervision.
Comfortable with need for heightened discretion and confidentiality.
