Overview of Position

Corebridge GLCR is looking for an attorney to join as Senior Counsel, providing legal advice regarding in-force Third Party Administrator agreements and contract review and legal support for Corebridge Procurement and Vendor Management teams.  This role is for an attorney with substantial experience primarily with third-party risk management and who has the interest and aptitude to assist with the burgeoning legal environment and thrives in an environment with broad, complex legal issues.  The ideal candidate will demonstrate an innovative approach and be able to work in an independent manner among a group of high performing professionals.  The Senior Counsel will work on projects that are time-sensitive, important to senior management, highly visible inside and outside of the company, and key to Corebridge’s business plans.

This position is based in Houston, TX and requires a commitment to travel regularly (up to 25%) and to working in our office three days a week.

Responsibilities:

This position reports to the Deputy General Counsel – Corporate Team.  Specific duties will include:

  • Support Procurement team in performing third party due diligence and onboarding.
  • Support Third Party Management team in their oversight obligations and compliance with Corebridge’s third-party management control framework. 
  • Draft and negotiate Third Party Administrator contracts, Statements of Work, and Change Orders.
  • Support oversight of Third-Party Administrators, including compliance with governing documents and adherence to contractual and regulatory obligations.
  • Draft contracts, amendments, and other contractual obligations of third parties.
  • Interpret contractual and regulatory obligations of third parties and work to resolve potential deficiencies.
  • Draft contracts, amendments and other contractual addenda related to third party engagements.
  • Research and provide legal advice regarding regulated and contractual obligations of third parties.
  • Participate in strategic planning initiatives of Procurement and Third-Party Management teams.
  • Support Procurement and Third-Party Management teams during general risk management projects focused on control effectiveness and improvement opportunities. Assist in development of formal recommendations for presentation to management.
  • Support management of key third party risks, such as privacy, information security, business continuity, etc. 

What you need to know

  • Juris Doctor; U.S. state bar admission; 7+ years of legal experience with a law firm and/or in-house.
  • Broad experience relating to legal issues confronting insurance and financial services companies.
  • Experience negotiating and drafting contracts and advising clients with contractual interpretation and understanding.
  • Knowledge of relevant issues that require negotiation in third party and vendor management.
  • Knowledge of Third-Party Administrator legal requirements.
  • Ability to develop and manage relationships with multiple clients.
  • Ability to manage multiple projects and assignments in a fast-paced environment.
  • Ability to work collaboratively with peers and internal clients across a complex organization as well as independently (including remotely).
  • Demonstrated experience working within aggressive timeframes.
  • Eager to learn, grow, develop and be part of an industry leading organization.
  • Skilled at team work as well as the ability to produce individual work product.
