Position Title: Counsel or Senior Counsel
Position Summary: Reporting to the lead attorney on Mergers and Acquisition this position will be a licensed, active, experienced insurance attorney with significant and material experience in all facets of the transaction. This is an ideal developmental opportunity to be involved in a period of great growth for the enterprise and for the industry.
Responsibilities include:
Reviewing transactions as the intermediary between the insurance broker and the carrier, assessing the viability of the transaction from the legal view, working with all parties to offer legal opinions and working with all parties until and through transaction is completed.
Plan, develop and direct the legal ramifications of each potential transaction, anticipating issues before they arise by being proactive to enhance the viability of the transaction and the value to the enterprise.
Significant experience in regulatory matters, risk and compliance.
Experience with private equity sales transaction is desired.
Identify areas for continuous improvement and implement initiatives to increase efficiency and effectiveness.
Pursue a program of personal and professional development.
Must master the learning curve quickly to become cognizant of the differences in the companies and what additional opportunities may enhance the growth of the enterprise.
Excellent oral and written communication skills.
Ability to naturally partner across divisions, including the ability to educate, influence, persuade and negotiate with all parties in the prospective transaction.
Must be willing to work under pressure and demonstrate excellent decision-making skills.
Position Requirements and Skills:
Licensed JD with 8-12- or 12-15-years' experience in all areas of corporate insurance law.
The right candidate will bring diversity of thought to the team, for the success of the enterprise.
Team leadership and managing small groups a plus.
Sophisticated and analytical skills required to monitor success of the enterprise to enhance the value for growth.
