About the role

Job Summary
The Vice President and Deputy General Counsel provides the corporate direction and management of contract development and administration as well as most other legal services including agreements or contracts for vendors, leases, real estate, risk management, the intellectual property registration process, and corporate guidance/counsel to the organization about employment law and immigration. This position has full authority for all of the above unless otherwise identified by the Executive VP, Secretary, and Chief Legal and Administration Officer. External subject matter expert counsel may also be utilized at the discretion of the VP and Deputy General Counsel. The VP and Deputy General Counsel assist the Executive VP, and Chief Legal and Administration Officer and Corporate Secretary with the overall administration of the Legal team and management of outside counsel. This position may act as the Assistant Corporate Secretary if selected by the Board of Directors. This position may interface with all levels and functions of the organization and external customers.

  • Manages operations staffing, including recruitment, supervision, scheduling, performance management, development, and disciplinary actions
  • Develop/Hire and manage contracts specialists to grow a successful team to support the wider commercial legal group ​


Legal Services Management: Creates and implements processes that optimize operational effectiveness and efficiency

  • Determines best practices for the contract processes to facilitate the efficient and effective development of contracts
  • Provides technical guidance and serves as a mentor to the contract counsel staff as needed for determining or utilizing best practices
  • Identifies and develops subject matter experts among the contract counsel staff for various industry sectors


Legal Risk Management: Provides legal and risk management advice to management to help ensure effective management of legal and contractual risks

  • Understand product, data security, and privacy process issues to enhance negotiations

  • Promptly assimilate Workiva’s internal structures, product offerings, technology, security/data protection systems, policies, and standard commercial contracts to enable effective support across all lines of business

  • Coordinates with department leaders to ensure that legal risks are identified and, where necessary, remediated
  • Reviews progress of outstanding litigation and consults with and manages external counsel
  • Legal business partner to Sales leadership providing general legal advice on forecasting, deal process, and contract management
  • Develops and delivers contractual services for the business which includes updating terms for contracts and reviewing contractual change requests
  • Resolve complex, non-standard agreements and orders


What You'll Need

    Experience

    • 12+ years experience including significant experience in in-house counsel leadership roles, demonstrating increasing complexity, scale, and responsibility.  

    • Experience in managing a team of professionals (attorneys or other)

    Education 

    • B.S./B.A. degree and J.D. degree required
    • Must be a licensed attorney

    Preferred Qualifications:

    • Accounting academic background desired
    • Relevant tech sector legal experience focused on commercial transactions including complex cloud contracts

    • Understanding of cloud services, software technology and professional services contracts and orders

    • Demonstrable success in recruiting, leading, and managing a mix of junior and senior legal team members

    • Substantial experience drafting and negotiating complex transactions involving security, priva
