Job Description
The individual in this role will manage Intuitive’s corporate development efforts, focusing primarily on M&A and asset acquisition. The individual will be tasked with creating a pipeline of acquisition opportunities, building deal rationales, leading due-diligence, making valuation and deal structure recommendations, and being the lead negotiator from term sheet through deal close.
Essential Duties and Responsibilities
Manage cross-functional teams charged with identifying and investigating new technology opportunities outside of the company, and their potential fit with Intuitive’s technology platforms, products and market strategy.
Oversight of execution of all transaction phases. This includes: initial contact, relationship management, business case development, transaction structure, term sheet negotiation, due diligence, contract drafting (in cooperation with Intuitive Surgical’s legal department, or outside counsel, as appropriate) final negotiations, integration planning, and deal closing.
Create and lead internal development groups to understand their technology directions and needs.
Collaborate closely with Strategy, Finance, and other Business Unit leaders to set and execute on Intuitive’s M&A strategy.
Represent the company and its technology / strategic interest to external parties. Report on key deal activities to C-suite executives, Board of Directors, and other senior executives.
Maintain and further develop relationships with deal partners and development partners after the transaction has been concluded, as appropriate.
Keep stakeholders regularly informed on status of pending transactions and relationships.
Perform other duties as required.
Qualifications
Core Competencies, Skills and Experience Requirements
Ten (10+) or more years of professional experience, seven (7) or more years’ experience within the medical device, life sciences, or technology industry..
Prior work experience must be in finance, investing or other relevant disciplined role. Prior transactional experience including M&A required. Prior experience in corporate business development is strongly preferred.
Keen business intuition, results orientation, negotiation skills and demonstrated interest in advancing a business’ strategic position through business development activities.
Strong detail-orientation, as well as the ability to interact with several internal functions and build a consensus from a varied group of departments and individuals.
Ability to achieve significant objectives and drive major projects, with limited authority. Outstanding teamwork and influence-management skills with the ability to successfully work with others at all levels
Strong leadership skills, and the business maturity, intellect and integrity required to establish immediate credibility with external constituencies.
Analytic thinker who approaches problems logically without getting lost in the detail, or suffering from “analysis/paralysis”.
Ability to develop market and financial models.
Results oriented, with the ability to lead a project from its very early inception, and to motivate all players, internal and external, to bring the project to a mutually beneficial completion.
Sustainable ability to work under tight deadlines and to remain focused on objectives whether deadline pressure is on or off.
