Purpose

 

Contributes to the overall success of the U.S. Legal Department in a wide range of regulatory matters within the Global Banking and Markets division, with a primary focus on Futures, Swap Dealer, Security-Based Swap Dealer, and applicable SEC and CFTC Regulations and additional coverage responsibilities in Prime Services, Securities Loans, Fixed Income and Cash Equities.

 

 

What You’ll Do 

 

•    Provides legal support to the Bank’s US FCM and the Bank’s Swap Dealer and Security-Based Swap Dealer.
•    Provides legal support to all business areas within Global Banking and Markets relating to the Commodity Exchange Act and relevant CFTC regulations thereunder, as well as applicable SEC and CFTC rules regarding the Bank’s Swap Dealer and Security-Based Swap Dealer activities.
•    Leads a team of attorneys advising other Global Banking and Markets businesses, including  Prime Services, Securities Loans, Fixed Income and Cash Equities.
•    Drafts, negotiates, and provides support to the documentation team for any relevant agreements and templates relating to the above businesses. 
•    Acts as the Legal Department’s liaison with other corporate functions supporting all products and initiatives related to the Bank’s FCM, swap dealer and security-based swap dealer activities.
•    Monitors legal and regulatory developments, evaluates impact on all affected business areas, and coordinates and discusses as necessary with internal stakeholders.
•    Serves as Legal stakeholder on working groups, managing projects and engaging with the firm’s advocacy efforts relating to regulatory issues and regulatory change.
•    Advises internal stakeholders across the front office and other corporate functions in developing and implementing key strategic projects and new initiatives.
•    Analyzes legal and regulatory issues and provides timely and well-researched work product to clients on legal matters affecting the Bank’s FCM, swap dealer and security-based swap dealer activities. 
•    Supports Scotiabank’s participation in various trade associations or other public forums and assists in drafting comment letters in response to proposed regulations affecting relevant areas.
•    Contributes to efficient and effective relationships with outside counsel and manages legal costs and invoices. 
•    Understands how Scotiabank’s risk appetite and risk culture should be considered in day-to-day activities and decisions.
•    Champions a customer focused culture to deepen client relationships and leverage broader Bank relationships, systems and knowledge.
•    Demonstrates a proactive approach to developing competency in unfamiliar practice areas.
•    Pursues effective adherence to Scotiabank’s Values and its Code of Conduct, while ensuring the adequacy, adherence to, and effectiveness of business controls to meet obligations with respect to operational, compliance, sanctions and anti-money laundering (AML), and conduct risk.
•    Perform other duties as assigned from time to time

 

 

What You’ll Bring 

 

•    J.D. and licensed attorney in good standing admitted or otherwise authorized to practice law in the state of New York or in the state of Texas. Position to be based either in New York, New York, Houston, Texas, or Dallas, Texas on a hybrid schedule.
•    10+ years of legal experience with a law firm or financial institution covering futures clearing, swap dealer and security-based swap dealer activities.
•    Comprehensive understanding of United States federal securities and commodities laws relevant to the foregoing
•    Strong interpersonal, analytical, influencing and communication skills.
•    Excellent judgement, writing skills, and presence.
•    Self-starter, effective under pressure, proactive and flexible.
•    Able to preserve confidentiality and exercise discretion.
