**This is an onsite role at our corporate headquarters in Palm Beach Gardens, FL**
We are seeking an experienced paralegal to join our team and manage detail-oriented and time-sensitive projects involving commercial contracts, corporate governance, and document research. As an integral part of our legal team, you will be responsible for various tasks related to the administration and monitoring of all commercial contracts, ensuring adherence to company policies and procedures. Your expertise in contract management and corporate governance will contribute to our organization's success.
Responsibilities:
- Manage detail-oriented and time-sensitive projects related to commercial contracts, emphasizing accuracy, meeting deadlines, and maintaining quality.
- Gather information, draft, and revise a variety of commercial contracts under attorney supervision.
- Investigate and provide advice on new and updated regulations and their impact on existing and future contracts.
- Establish effective communication with support departments, facilitating problem identification and resolution while ensuring contract compliance.
- Interpret agreement terms and conditions, identifying potential issues, risks, and areas of concern.
- Maintain corporate minute books, draft meeting notices, consents, and other organizational documents.
- Track key dates for contract renewal, notice, filing, and termination, as well as organizational minutes, licenses, and regulatory filings.
- Prepare presentations and maintain Excel-based databases and spreadsheets.
- Collaborate with business units, providing guidance on contract interpretation, corporate governance, policies, and procedures.
- Obtain information regarding existing business arrangements from global business managers.
- Implement and enforce company policies and procedures regarding commercial transactions.
- Perform filing and maintain a contract database and legal templates.
Qualifications
- Bachelor's degree or advanced degree in a related field with a minimum of 5 years of experience.
- 5-10 years of progressive experience, including at least 3 years in an equivalent role in a similar operating environment.
- In-house legal department or law firm experience with a focus on commercial contracts drafting is a plus.
- Aerospace industry experience is highly desirable.
- Advanced understanding of complex contracts and purchase order terms and conditions.
- Advanced knowledge of contract drafting, negotiation, and use of various agreements.
- Must exhibit discretion, professionalism, maturity, and integrity.
- Excellent computer skills using MS Excel, PowerPoint, and other MS Office products.
