Corporate Counsel

Job Summary:  Canal Insurance Company is seeking a highly motivated and skilled individual for the role of Corporate Counsel. Supporting and working closely with the Vice President, General Counsel & Corporate Secretary, this generalist position will play an important role in helping Canal achieve its organizational objectives and continue on its high-growth trajectory. This is a high exposure role requiring interaction with senior executives and the Board of Directors, as well as employees and experts within the company at all levels, to manage the company's legal, risk and compliance matters. It’s a great opportunity to gain exposure to various areas of responsibility.

 

Key Responsibilities:

  • Provide comprehensive legal advice and support on a variety of matters including, but not limited to, commercial law, litigation, real estate, employment law, regulatory compliance, data privacy, and intellectual property.
  • Assist in developing and implementing compliance policies and programs, including Canal’s Enterprise Risk Management program, which is led by the General Counsel’s office.
  • Monitor and report on legal risks and developments that could impact the company. Support the Vice President, General Counsel & Corporate Secretary in advising the Board of Directors and its committees on legal matters, corporate governance, and best practices.
  • Oversee the preparation and filing of legal documents with government agencies and courts.
  • Draft, review, and negotiate a wide range of commercial contracts and agreements, ensuring they meet company policies and legal standards.
  • Manage external counsel to ensure quality and cost-effective legal services.
  • Support the corporate secretarial function, including preparing for board and committee meetings, maintaining corporate and shareholder records, and utilizing board portal software.
  • Stay abreast of legislative and regulatory changes affecting the insurance industry. Advise on regulatory compliance matters and participate in industry associations as needed.
  • Utilize and oversee the integration of AI and legal technology tools to enhance the efficiency and effectiveness of legal operations, ensuring ethical use and compliance with data privacy and confidentiality standards.

 

Qualifications:

  • Juris Doctorate (JD) from an accredited law school.
  •  Member in good standing of the South Carolina Bar or eligible for a limited certificate of admission for in-house counsel under Rule 405, SCACR. 
  • A minimum of 5 years of legal experience, preferably in a large law firm or corporate setting.
  • Professional, highly organized and detail-oriented. 
  • Possess the ability to work independently, to thrive under pressure and to meet deadlines in a dynamic and entrepreneurial environment. 
  •  Business-oriented experience required. Candidate must show a willingness and desire to learn about the business. 
  • Excellent analytical, negotiation, and communication skills.
  • Demonstrated ability to handle confidential information with discretion.

 

Physical Requirements: Constant use of vision, hearing, and communication (oral and written in person and via telephone). Frequent concentration, standing, walking, handling, reaching, and grasping is required. There will be occasional bending, kneeling and lifting (up to 25 lbs.). Heavy use of computer and office equipment required.

Travel/Hours of Service: Occasional travel required. Periodic work outside of standard business hours or on weekends may be required.
