We’re hiring a Corporate and Commercial Counsel to oversee and manage all aspects of domestic and international subsidiary governance and entity maintenance. As Counsel, you will draft, review, and maintain key corporate documents and contracts. Candidates with experience setting up subsidiaries and maintaining worldwide legal entities in a law firm setting are preferred. This role is a U.S. based, remote position requiring travel as needed.

  • You have experience drafting and negotiating commercial agreements.
  • You can advise and counsel internal teams with respect to legal issues and risks associated with commercial engagements, and legal implications of proposed transactions or projects, while maintaining a sensible and practical balance between legal risks and business priorities.
  • You are a self-starter who can handle a broad range of responsibilities and prioritize projects in a fast-paced environment.
  • You have excellent contract drafting, analytical, and communication skills with impeccable attention to detail and a strong sense of ownership and accountability.
  • You are team-oriented and bring a collaborative approach to your work.

 

Responsibilities of this Role:

  • Oversee and manage all aspects of domestic and international subsidiary governance and entity maintenance, including preparation of internal legal documentation and supervision of state and local filings relating to legal entity formations, foreign qualifications, dissolutions, name changes, conversions, internal mergers, and fictitious business names
  • Draft and review corporate documents, including governing documents, resolutions, consents, secretary and officer certificates and minutes
  • Maintain key corporate documents and records to support audits, compliance, and reporting
  • Collaborate with domestic and international legal partners on internal restructurings and intercompany transactions
  • Assist with due diligence on M&A deals
  • Coordinate Form D, "Blue Sky" and other state and federal filings, as necessary
  • Draft, review and negotiate a wide variety of commercial contracts, such as vendor agreements, technology/SaaS agreements, professional services agreements, and confidentiality agreements
  • Help develop processes to ensure ongoing compliance with contractual commitments and provide practical, solutions-oriented advice to help client teams navigate issues that may arise in the customer relationship (e.g., service outages, SLA remedies, etc.)
  • Develop and maintain forms for key agreements and a contract playbook related to material terms

Required Experience:

  • J.D. and 3+ years of experience at a law firm or comparable corporate environment
  • Strong corporate governance and subsidiary management knowledge and experience, including domestic and international entity maintenance

Precision is required by law in some states or cities to include a reasonable estimate of the compensation range for this role. This compensation range takes into account the wide range of factors that are considered in making compensation decisions including but not limited to: skill sets, experience and training, licensure and certifications, and other business and organizational needs. The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled. At Precision, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is $147,000 - 198,600. This role is also eligible for a discretionary annual bonus, health insurance, retirement savings benefits, life insurance and disability benefits, parental leave, and paid time off for sick leave and vacation, among other benefits.
