POSITION SUMMARY:
This Senior Counsel position is within Marathon’s Law – Corporate & Commercial (C&C) team, which is the in-house legal team responsible for providing legal support in the following substantive areas: Mergers & Acquisitions, Commercial & International, Securities & Finance and Digital, Privacy, Artificial Intelligence, Cybersecurity and Intellectual Property. This position will be focused on providing competition law and antitrust legal advice and guidance for all relevant areas covered by the Law C&C team. Additionally, this position will collaborate with Marathon’s Law – Litigation team on select investigations and litigated matters. Being a member of the Law C&C group provides opportunities to practice in multiple substantive legal areas with a primary focus on federal and state antitrust act, Hart-Scott-Rodino Antitrust Improvements Act (HSR) and other competition law risk mitigation, compliance and counseling as well as management of certain internal and external investigations and litigation strategy. The successful candidate will be comfortable working in a team environment and collaborating with Law Organization colleagues to support legal matters across the Marathon’s global operations.
This is a hybrid (onsite/remote) role requiring 4 days a week in office and 1 day per week of remote work.
KEY RESPONSIBILITIES:
Provide Effective Legal Services. Generate qualitatively superior legal analysis, work product, and advice. Provide legal advice and services that are relevant, practical, and meaningful to business units. Become an integral partner to the Company’s business units, understanding business strategies and commercial objectives.
Contract Drafting and Support. Support the Company’s mergers and acquisitions activities as well as day-to-day operating contracting efforts. Work creatively and proactively with legal colleagues and the Company’s business units to identify opportunities for commercially advantageous risk allocation in contracts.
Legal Counseling and Training. Identify and implement proactive approaches to counseling business units on a competition law and related topics, including statutory and regulatory obligations and compliance. Be an active and creative participant in the Law Organization’s legal training program.
Ability to manage complex litigation and effectively partner with clients to develop, evaluate, and implement a litigation strategy.
Overall. Assist and support the Law Organization in a fast-paced and collegial corporate legal environment
EDUCATION AND EXPERIENCE:
JD degree from an accredited US law school.
10-15+ years of experience preferred.
Demonstrated antitrust and competition law experience required.
3+ years’ experience as in-house or transactional counsel is preferred.
Legal experience in one or more of the following is preferred but not required:
Commodity trading and commercial transactions
Mergers and acquisitions
SKILLS:
Ability to identify complex problems and effectively partner with clients to develop, evaluate, and implement solutions
Ability to juggle multiple matters and effectively prioritize work to ensure completion in a timely and efficient manner
Strong people skills and a collaborative, team-oriented attitude. Ability to maintain positive and effective relationships with other members of Law C&C team as well as management and staff of the Company and external parties
Ability to communicate effectively orally and in writing as appropriate for the needs of the audience
Ability to identify the strengths and weaknesses of alternative solutions, conclusions, or approaches to problems
Ability to provide commercial, business-minded solutions to complex legal problems
Solid baseline of negotiating skills with outside parties
Must understand dynamics of managing outside counsel
Ability to teach others complex subject matters
Desire to learn and open to feedback.
Ability to travel up to 10%
