Vice President, Transaction Execution Services

- Prepare companies for sale and support them throughout the deal process;
- Work with company management, private equity deal, and operating teams, investment bankers, and other third parties to support the development of any equity story and other go-to-market materials;
- Utilize both Excel and business intelligence tools to develop a variety of granular financial, operational, and business segment analysis (profitability, trending, etc.);
- Analyze, quantify, and validate deal-related assumptions, including synergies, add-backs, pro forma financials;
- Manage and/or support the development and population of an investor-ready data room;
- Work with CFOs and their teams, respond to due diligence and other deal-related questions from either financial (private equity) or strategic buyers.
- Assist private equity firms and their portfolio companies on a variety of corporate development activities: Project manage the end-to-end process of add-on acquisitions; Perform a variety of due diligence activities; Develop financial analysis, including deal, merger, and valuation models; Prepare deal memoranda and other documents for key stakeholders; Execute merger integration planning and post-merger execution services.
- Provide leadership support on client engagements including managing work streams to agreed timelines, performing quality control of client deliverables and leading the presentation of deliverables.
- Perform detailed analysis and synthesize actionable insights from data sets and unstructured information sources.
- Ensure that finance and accounting teams perform the following: Data room population; Preparation of supporting financial analysis and schedules; Response to ongoing diligence requests; and coordination of timelines, financial schedules and work streams to ensure a smooth transaction for financial matters; and, Prepare and present financial presentations for client proposals and thought leadership materials. Position supervises one subordinate Associate, Transaction Execution Services.
Requirements
- Bachelor’s degree in Finance, Economics or a related field and 6 years of experience performing transaction advisory services at a private equity firm, investment bank, consulting firm, or corporate development group. In the alternative, the employer will accept a Master’s of Business Administration (MBA) and 4 years of experience performing transaction advisory services at a private equity firm, investment bank, consulting firm, or corporate development group.
- Domestic travel required up to 20% of time, once every 2-3 months, to client sites.
- Experience must include the following, which may be gained concurrently:
- 4 years of experience performing extensive financial analyses, including valuation and transaction models and cash flow analysis;
- 4 years of experience utilizing excel and business intelligence tools to develop a variety of granular financial, operational, and business segment analysis (profitability, trending, etc.);
- 4 years of experience performing business and financial due diligence;
- 4 years of experience evaluating and benchmarking transaction structures and deal terms;
- 4 years of experience leading financial projects with multiple complex workstreams with company management, private equity teams, investment bankers, and other third parties;
- 4 years of experience analyzing and explaining financial statements, pro forma financial statements, and financial restatements typically in connection with transactions;
- 4 years of experience preparing and presenting board and client presentations;
- and 4 years of experience participating in client pitch engagements and business development initiatives.
