Job Summary

Seeking an experienced attorney possessing a minimum of 3-5 years of experience with negotiating procurement agreements, including software licenses, component sourcing agreements, hardware purchase agreements, professional services agreements and other purchasing agreements.

Job Description

Major Responsibilities

  • Prepares, negotiates, and manages various standard and non-standard contracts including network hardware and consumer product purchasing agreements, software licensing (including SaaS) agreements, consultant agreements, vendor service agreements, NDAs, amendments, and statements of work, interacting with in-house and outside counsel, and business and procurement teams, as appropriate, to ensure compliance with business and legal requirements, as well as corporate policy.
  • Provides counsel and guidance on contractual legal matters and policies to all business levels, including by acting as first point of contact on matters of contract interpretation, and preparing memoranda regarding contract terms and risk analysis for executive review.
  • Works to establish and participate in processes that will create efficiencies for the legal department and business clients.
  • Consistent exercise of independent judgment and discretion in matters of significance.
  • Regular, consistent and punctual attendance. Must be able to work nights and weekends, variable schedule(s) and overtime as necessary.
  • Other duties and responsibilities as assigned.

Minimum Requirements:

  • Law Degree from Top Tier Law School.
  • In good standing with a state bar (preferably Pennsylvania).
  • Minimum of 13 years’ transactional/commercial law experience, including negotiation of software and professional services engagements. Law firm experience and experience in-house, especially small-to-midsized corporate law departments preferred.
  • Understanding of risk assessment and analysis within the context of a growing, innovative technology industry.
  • Ability to work effectively with senior management and operations personnel, simultaneously manage multiple projects, and meet deadlines with consistently high-quality work product
  • Ability to effectively direct, manage, and develop outside counsel where needed.
  • Ability to work build, mentor, and lead an effective and business-oriented team of attorneys and non-attorneys.
  • Excellent negotiating, drafting, problem solving and communications skills.
  • Prior experience managing a team of legal professionals, strongly preferred.
