GENERAL PURPOSE

Support the General Counsel and broader global Legal, Compliance and ESG functions in managIng and evolving the Company’s global compliance strategies, including drafting and implementing policies, procedures and controls, internal investigations, related trainings and assessing/responding to regulatory compliance risks, including data privacy, cybersecurity, ESG and product risks, among others. Oversee the Company’s Product litigation portfolio.

ESSENTIAL FUNCTIONS

Maintaining and embedding the Company’s Code of Business Conduct and Ethics with a supporting framework of policies, procedures and controls to help ensure compliance.

  • Oversee design, implementation, review, audits, and updates of company compliance policies/programs at the direction of the General Counsel, both internally and in relation to third parties acting on the Company's behalf, using the U.S. Federal Sentencing Guidelines as the basis.
  • Assess compliance, legal and reputational risks and lead (or assist where appropriate) to address, in partnership with other members of the Legal, HR, communications, business risk and other relevant teams.
  • Manage the Company’s compliance training program, including vendor oversight, course and audience selection, updates to the training content.
  • Experience implementing programs based on the U.S. Federal Sentencing Guidelines and the U.S. Department of Justice Criminal Division Evaluation of Corporate Compliance Programs.
  • Develop framework to measure and assess all compliance areas throughout the organization (e.g., EHS, Product, Data Privacy, Anti-Corruption, Supply Chain)
  • Work with cross-functional teams within the organization and compliance policy owners to monitor and test key risk areas and compliance program effectiveness
  • Provide ethics and compliance advice globally.
  • Help support and evolve the Company’s supplier compliance initiatives.
  • Ensure that the whistleblowing hotline operates effectively, monitoring potential breaches and co-ordinating responses.
  • Manage and conduct internal investigations as appropriate and develop and present investigative findings, recommended remediation, and complete summary documentation.
  • Report on compliance program effectiveness, including internal investigations, to the Audit Committee of the MillerKnoll Board of Directors
  • Actively monitor and analyze developments related to compliance, including trends, emerging laws or regulatory guidance, industry best practices, and other compliance-related matters and incorporate applicable external best practices and compliance guidelines (e.g., Department of Justice, Federal Sentencing Guidelines, etc.) into MillerKnoll’s’s business practices

Advise on, research, and draft documents related to the integration of new, or proposed, matters and investments consistent with ESG policies. Provide legal review of marketing materials and other communications related to ESG policies.

Assist in the identification and response to current and evolving product compliance requirements and work with the Company’s third party broker in strategically supporting product liability matters.

Actively manage outside counsel as needed, including assisting with budget management, invoice review and approval, and active engagement in the financial effectiveness of our Legal service delivery model.

Support strategic legal priorities to deliver the most effective and efficient legal services.

Education/Experience

Juris Doctor degree

Strong academics and a minimum of 10 - 15 years post graduate compliance-related work experience as an attorney in an in -house legal department, government agency or well-regarded law f
