Job Description

As a member of the Contract Management Organization (within the Global Technology & Commercial Legal Services Team), this individual will provide high-quality legal advice and support to Western Digital’s Procurement and Engineering organizations, including negotiation of wide variety commercial agreements and collaboration with internal stakeholders and outside counsel. This full-time position is based at Western Digital’s office in Irvine, California, or San Jose, California and will report to the Senior Director, Assistant General Counsel, Contract Management Organization.

ESSENTIAL DUTIES AND RESPONSIBILITIES:

  • Drafting, reviewing, negotiating, and finalizing commercial contracts, including, but not limited to, professional services agreements, purchase agreements, joint development agreements, engineering agreements, license agreements, engagement letters, statements of works, amendments, and other business/legal/technology related documents.
  • Identifying and advising internal clients on risks associated with each transaction and proposing practical/strategic risk mitigation strategies in connection with commercial transactions.
  • Working closely with (and overseeing the work product of) contract managers and administrators within the Contract Management Organization.
  • Supporting various aspects of the contract management process, including playbooks, templates and efforts to streamline contract operations.
  • Working on special projects with members of Contract Management Organization, as needed

Qualifications

REQUIRED:

  • 5-8 years of relevant transactional experience in a law firm and/or in-house legal department drafting, reviewing, and negotiating commercial and/or technology agreements.
  • Experience in technology company and industry with strong IP/patent licensing and/or tech transaction preferred.
  • Engineering/technical degree required.
  • Instills trust and has excellent interpersonal and communication skills, including the ability to collaborate, demonstrate diplomacy, and otherwise interact well with colleagues and management in a highly professional manner.
  • Demonstrated skill at diving deeply and accurately into details and strong analytical capability.
  • Attention to detail and ability to produce high quality work product.
  • Strong work ethic and ability to handle, prioritize and advance multiple projects in a global stakeholder environment (viz., the United States and APAC region).
  • Track record of providing high-quality, timely results on a wide variety of contract matters.
  • Self-starter who takes ownership of work and demonstrates the ability to work independently and collaboratively with others.
  • Committed to growth mindset and continuous improvement.
  • Experience with contract lifecycle management and e-signature software tools.
