About the role
<p>Axiom is seeking skilled corporate lawyers with experience in mergers and acquisitions, real estate transactions, and corporate governance to support our clients on full-time interim engagements. Ideal candidates will have experience conducting due diligence, drafting deal documentation, and negotiating commercial contracts from both an in-house and private practice perspective, and will be available to work a hybrid in-office schedule in Sydney or Brisbane.&nbsp;</p> <p><strong>Responsibilities:</strong></p> <p><strong></strong></p> <ul> <li>Provide legal support on M&amp;A transactions, including due diligence, structuring, and drafting/negotiating key transaction documents.</li> <li>Draft, review, and negotiate real estate documentation, including leases, sale and purchase agreements, and related property contracts.</li> <li>Prepare, review, and negotiate a broad range of commercial agreements (e.g. services, supply, vendor, and confidentiality agreements).</li> <li>Provide timely, pragmatic legal advice to internal stakeholders on corporate, commercial, and regulatory matters, managing legal risk appropriately.</li> <li>Liaise with and manage external counsel and other advisors as required to support transactions and projects.</li> </ul> <p><strong></strong></p> <p></p> <p><strong>Requirements:</strong></p> <p><strong></strong></p> <ul> <li>5+ years’ post-qualification experience advising on complex M&amp;A transactions, including legal due diligence, deal structuring, and drafting/negotiating SPAs, shareholder agreements, and ancillary documentation for corporate and institutional clients.</li> <li>Strong background in real estate transactions, with a track record of drafting, reviewing, and negotiating commercial leases, sale and purchase agreements, and related property contracts across a range of asset classes.</li> <li>Broad commercial contracts expertise, including preparing, reviewing, and negotiating services, supply, vendor, and confidentiality agreements, and providing pragmatic, business-focused advice on associated corporate and regulatory issues.</li> <li>Proven ability to partner with internal stakeholders and manage external counsel on cross-functional projects and transactions, balancing legal risk with commercial objectives within fast-paced in-house and/or private practice environments.</li> </ul> <p><strong></strong></p> <p><strong></strong></p> <p><strong></strong></p> <p><strong>Compensation, Benefits &amp; Location:</strong></p> <p>This role offers a highly competitive compensation and benefits package in the alternative legal serv
