Job Description
As a member of the Global Technology & Commercial Legal Services Team, this team member will provide high-quality commercial contract and administrative support to Western Digital, including its Procurement and Sales organizations, including negotiation and administration of commercial agreements and collaboration with internal stakeholders and partners. This full-time position will report to the Sr. Director, Assistant General Counsel, Contract Management Organization Lead, and is based at Western Digital’s office in Milpitas, California or Irvine, California (or may be Remote for the right candidate).
Responsibilities include:
- Drafting, reviewing, negotiating, and finalizing a wide variety of commercial contracts, including, but not limited to, non-disclosure agreements, sales agreements, marketing agreements, distribution agreements, professional services agreements, purchase agreements, engagement letters, statements of work, amendments, and other business/legal documents.
- Identifying and advising internal clients on risks associated with each transaction and proposing practical/strategic risk mitigation strategies in connection with commercial transactions.
- Working closely with commercial contracts attorneys within the Global Technology & Commercial Legal Services Team and various teams within the Legal Department.
- Supporting various aspects of the contract management process, including post-contract award administration and use and management of Western Digital’s internal contracts management tools and applications.
- Providing ad hoc project management, general administrative, and operational support.
- Working on special projects, as needed.
Qualifications
- 5+ years of relevant transactional experience in an in-house legal department drafting, reviewing, and negotiating agreements and performing contract administration.
- Self-starter who takes ownership of work and demonstrates the ability to work independently and collaboratively with others in a team environment.
- Ability to effectively identify goals and communicate and identify risks and proposed go-forward strategies with internal business clients.
- Experience working in (or with) technology companies or in the technology industry is preferred.
- Strong attention to details and strong analytical skills.
- Ability to manage and prioritize multiple projects.
- Track record of providing high-quality, timely results on a wide variety of contract matters.
- Experience with contract management lifecycle (CLM) solutions.
- Proficiency in Microsoft 365 (Outlook, Teams, Excel, PowerPoint, and Word) preferred.
