Overview

As the Transaction Management Oversight Manager, you will provide oversight for the product teams located in Santa Ana, CA. You will review and approve ad hoc requests throughout the life cycle of a transaction. You will interact with Santa Ana client services who run a population of deals and ensuring that the oversight responsibilities are completed timely. In addition, to enhance the knowledge base of the transaction management function, you will be involved in document negotiation and implementation for new Americas Debt & Agency deals. You should have a thorough understanding of sometimes complex deal structures, deal documentation, and the closing process.

What You’ll Do

  • New deal set-up. Includes reviewing various aspects of set-up, investment instructions, checklist review and approval. Review and sign-off on the annual review process for each applicable transaction. Changes in bondholder statement approvals (restatements/reporting changes)

  • Knowledge and awareness of deal terminations which will include executing any deal documents, checklist review and system approvals. Review and Execution of contracts for new deals, amendments, terminations etc.

  • Recognizing areas of risk and escalating as appropriate. Holder of other escalated inquiries including incoming/outgoing notices. Involvement in escalated inquiries which will include interacting with outside counsel and product heads

  • Potential default review including interacting with outside counsel, default team, product leads and client services. Negotiating transaction documents (with or without the representation of outside counsel, depending on deal structure)

  • Ensuring compliance with policies and procedures of the Bank. Ensuring all internal requirements to closing have been complied with. Attendance and participation in relevant pipeline meetings, oversight management meetings, governance committees

  • Coordinating with relevant parties to ensure operational capabilities are sufficient. Working effectively with internal and external counterparties. Engaging all parties to a deal in a manner that optimizes the overall client experience with Deutsche Bank. Working with other teams such as Client Services Product Teams and Default and Distressed Transaction Team

Skills You’ll Need

  • Excellent written, verbal, and interpersonal skills

  • Ability to read and interpret legal transactional documents, bank procedures

  • Understanding of deal structures and documentation for a variety of financings, including corporate debt, MMI’s, project financings, securitizations, escrows, secured financings, custody, and reorganizations

  • Understanding of the duties of corporate trustees and agents

  • Proficiency in both Word and Excel

Expectations

It is the Bank’s expectation that employees hired into this role will work in the New York City office in accordance with the Bank’s hybrid working model.

The salary range for this position in New York City is $80,000 to $130,000. Actual salaries may be based on a number of factors including, but not limited to, a candidate’s skill set, experience, education, work location and other qualifications. Posted salary ranges do not include incentive compensation or any other type of renumeration.
