Role Description:Sayari is looking for a highly qualified Corporate Counsel to oversee the legal aspects of our business. We are committed to maintaining a strong reputation for integrity and compliance and as our first legal hire, you will ensure that the company strictly follows the law and you will give legal advice to management about all relevant issues. You will educate and provide real time analysis and feedback so the company and its employees are able to stay in compliance with applicable laws and regulations, advise and liaise with the Board of Directors and executive team on strategic initiatives, and handle the most sensitive and important legal matters.

Job Responsibilities:

  • Give accurate and timely counsel to executives on various legal topics (labor law, partnerships, international ventures, corporate finance, etc.)
  • Own corporate governance efforts for all domestic and international employees while regularly monitoring compliance
  • Research and evaluate different risk factors regarding business decisions and operations
  • Apply effective risk management techniques and offer proactive advice on possible legal issues
  • Communicate and negotiate with external parties (regulators, external counsel, public authority etc.), creating relations of trust
  • Draft and negotiate agreements, contracts, and other legal documents to ensure the company’s full legal rights
  • Navigate complex matters with multiple stakeholders identifying creative solutions and building consensus
  • Provide clarification on legal language or specifications to everyone in the organization
  • Demonstrate full ownership of your professional responsibilities while conducting yourself  with integrity
  • Maintain current knowledge of changes in legislation
  • Support M&A activity and financial transactions
  • Work with the Privacy & Security department to manage compliance with data privacy frameworks worldwide, such as GDPR
  • Oversee and manage outside counsel

Required Skills & Experience:

  • JD from an accredited law school
  • Bar membership in good standing
  • At least 6 years of combined legal practice experience gained at a top global law firm and including a minimum of 2 years of in-house practice providing regulatory and compliance advice
  • Excellent knowledge and understanding of corporate law and procedures
  • Demonstrated ability to critically evaluate a wide range of issues and provide sound legal advice
  • Ability to translate complex legal concepts into actionable advice for the business
  • High degree of professional ethics and integrity
  • Sound judgment and ability to analyze situations and information
  • Outstanding communication skills

Desired Skills & Experience:

  • Working with a global organization and/or startup environment
  • M&A experience
  • Contract practice at a law firm and/or in-house environment, both leading and managing a department
  • Negotiating U.S. government and foreign contracts, along with their related compliance and regulatory obligations
  • Ability to liaise with government agencies
  • A focus on all facets of Federal government and State & Local contracting law in various jurisdictions
  • Knowledge of key data privacy frameworks and open records laws in North America, Europe, and abroad
