SHOULD YOU ACCEPT THIS CHALLENGE...
In this role, you will report to the VP, Deputy General Counsel, and be the lead lawyer responsible for Pure's corporate work, including SEC reporting, governance, Section 16 filings and related legal support. The strongest candidate will have a deep background in corporate and securities work. The title and level may be adjusted depending on candidate qualifications and experience. Our legal team has a reputation for being the best our clients have ever worked with. But we've got to be honest -- you'll get to do a lot of interesting stuff. Your key responsibilities will include:
- Taking a leading role in drafting and reviewing SEC filings, including proxy statements, 10-Ks, 10-Qs, 8-Ks, S-8s, Form SDs and Section 16 filings)
- Supporting other public company governance and compliance matters (e.g., earnings release process, stockholders’ meetings, investor days, etc.)
- Ensuring compliance with securities laws and NYSE listing requirements
- Assisting with corporate governance matters, including board, committee and shareholder matters, and with maintenance of related policies and charters
- Collaborating with finance, accounting, investor relations, and public relations teams on earnings-related materials and other disclosures to the investor community
- Administering public company policies and procedures, including our insider trading policy, and administration related to Pure's equity plans
- Providing support as needed for M&A and other strategic transactions, treasury and capital market transactions, and other general corporate matters
- Overseeing international entity management and compliance
- Expanding your responsibilities beyond corporate and securities to any number of areas you may find interesting and helpful to your long-term career goals
WHAT YOU’LL NEED TO BRING TO THIS ROLE...
- Law degree from U.S. accredited law school and active membership in at least one U.S. State bar.
- Minimum of ten years of legal experience at a premier law firm, or a mix of law firm and in-house experience, with prior in-house experience a strong plus
- Broad experience in U.S. corporate and securities law matters, including SEC reporting, NYSE compliance and state law corporate matters.
- Proficient drafting and legal technical skills, with keen attention to detail.
- Excellent interpersonal skills with high initiative, flexibility, and ability to collaborate cross functionally.
- Effective communicator, able to convey complex ideas in a clear, concise manner both verbally and in writing.
- Self-starter who thrives and can multitask in fast-paced and often ambiguous environment; ability to meet deadlines, prioritize and manage multiple projects concurrently
- Proficiency with Workiva and Excel required; experience with Diligent or similar board platform software
The annual base salary range is: $214,000 – $342,000 Salary ranges are determined based on role, level and location. For positions open to candidates in multiple geographical locations, the base salary range is reflective of the labor market across the applicable locations.
