Job Summary

The position will require the ability to efficiently support the needs of the U.S. R&D, manufacturing and sales force. You will play an integral role across the organization and be involved in a wide range of legal and compliance endeavors, including corporate governance, regulatory compliance and trainings, IP protection, contracts with customer, vendors and business partners, employment matters, and more. The successful candidate will show the necessary legal and compliance experience and show the ability to live and work in fast paced environment with a group of colleagues striving to build a successful and collaborative team to support healthcare customers across the country.


The ideal candidate must have a minimum of ten (10) years’ experience in healthcare, technology and corporate law. Candidates who have previous experience establishing and developing corporate legal and compliance department are preferred. Compliance experience in medical device industry is highly desirable.


Duties & Responsibilities

· Provide legal guidance and support in the review, negotiation and drafting of various contracts, including, but not limited to marketing, sponsorship, partnership, cause related marketing, grants, IT, service/product agreements.

· Conduct thorough analysis and assessment of potential risks and legal implications associated with entering into various agreements, including compliance with legal and regulatory requirements, oversight of contract policies/training, processes, and contract management systems.

· Collaborate with internal stakeholders and cross-functional teams to ensure alignment on contractual terms and conditions.

· Work cross-functionally with internal stakeholders and with external partners to ensure the proper clearance, maintenance, and enforcement of UIH IP.

· Advise on IP matters, including trademark and copyright protection, and assisting in and overseeing IP infringement issues. Develop and implement strategies to protect IP rights.

· Conduct research and provide UIH North America with regular updates on relevant laws, regulations, and industry trends related to contracts and IP.

· Assist in the management of legal disputes and claims related to contracts and IP.

· Responsible for developing, leading, and monitoring the company’s Compliance Program, seeking to continuously make the program more effective to prevent and address compliance matters across all Company assets and employees including United Imaging offices and project sites.

· Identifies ethics, compliance, and legal risks, emerging risks, and priorities; provides strategic guidance to address concerns; and recommends and implements relevant initiatives to ensure an effective E&C program and integrity-based culture

· Ensuring company-wide awareness of the Code of Business Conduct and proper conduct and compliance with respect to anti-corruption, anti-harassment, gifts & entertainment, conflicts of interest, sanctions, antitrust, trade compliance, data privacy, and other compliance matters

· Developing, monitoring, and managing ethics and compliance policies and procedures to prevent illegal or unethical conduct

· Continued development and implementation compliance helpline intake program and corresponding investigation process

· Collaboration with internal audit on investigations and compliance and legal related matters

· Collaboration with HR on workplace investigation matters, such as allegations of discrimination, favoritism, retaliation, progressive discipline and termination.
