About the Role
The General Counsel will be responsible for building, managing, and leading our legal team, and setting the right foundations in place for continued growth. In this role the General Counsel will use their previous experience in a public tech company to oversee all aspects of our business including product, IP, regulatory, corporate, policy, compliance, privacy, employment, SEC reporting, and global subsidiary maintenance. Responsibilities to evolve and grow depending on the business needs.
What You’ll Do
- Responsible for overseeing the legal function in the organization
- Provide legal counsel and support to enable strategic business transactions, collaborations, and other complex contracts
- Be our trusted business partner who will help us understand when to take risks, how to mitigate them, and when to avoid them
- Support all aspects of our business and drive our legal strategy for various company-wide initiatives
- Interface and foster relationships with our key partners (including outside counsel, partners, banks, insurance, and regulators)
- Advise leadership on corporate governance and equity fundraising, including board meetings, stock administration, business conduct, and other policy matters
- Advise on securities law, SEC compliance and related general corporate matters
- Assist with investor matters, including review of announcements, press releases, investor presentations and other investor communications
- Stay current on corporate governance trends and best practices, including research or benchmarking projects
- Work collaboratively and responsively with a broad range of colleagues across functions, ensuring good relationships between legal, finance, human resources and operations to facilitate a coordinated team approach
What We’re Looking For
Skills
- J.D. from a top-tier law school
- Good standing to practice law in the State of California
- 10+ years of relevant legal experience, ideally gained at a well-regarded law firm followed by senior in-house experience.
- Experience at a publicly traded company, technology industry preferred
- In-depth knowledge of securities law
- Extensive experience advising clients on public company reporting and compliance matters, as well as corporate governance matters
- Excellent written, communication and interpersonal skills and the ability to collaborate with, and gain the respect of, stakeholders at all levels
- Ability to adapt to and thrive in a dynamic fast-moving mission-driven organization, preferably in or with high growth tech companies
- A proven track record in litigation management and risk management negotiation
- B2C eCommerce experience a plus
