It is anticipated that an incumbent in this role will work remotely 100% of the time and will share a hoteling workspace if/when working onsite, as determined by business needs. The incumbent can work remotely from anywhere in the United States, unless otherwise specified in the job posting. Work location is subject to change based on business needs.

Summary of the Job:

 

The primary focus of the Director is to provide (i) capital markets services including public offerings of equity and convertible debt, PIPEs and Registered Direct offerings, and private placements of equity and debt securities and (ii) M&A advisory services including buy-side, sell-side and Fairness Opinion services. The Director will work with Managing Directors in both the investment banking and capital markets teams to identify areas of focus and origination.

About This Role:

 

ESSENTIAL JOB FUNCTIONS AND DUTIES

To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. 

  • Originate and drive activities and strategies for public market financing engagements.
  • Originate and oversee the execution of M&A transactions including buy-side, sell-side and Fairness Opinion transactions.
  • Adheres to and enforces compliance with firm and regulatory requirements.
  • Lead preparation of documentation and marketing materials.
  • Market and negotiate the transaction.
  • Lead deal teams teams in execution of M&A and financing transactions, including public offerings, private placements and PIPE transactions.
  • Work with investment bankers to ensure proper coverage of existing firm relationships and new client origination.
  • Provide support with new business development efforts, including:
    • Identification and prioritization of potential clients
    • Development and delivery of pitches to prospective clients
    • Participation in marketing at appropriate industry events
  • Take initiative in developing junior team members through formal project work and informal coaching and mentoring.
  • Client facing interaction is an integral part of this role and travel will be based on the individual clients needs. 

Additional Duties

Employee is responsible for additional job duties as maybe assigned by the Head of Investment Banking and the Company.

REQUIRED KNOWLEDGE, SKILLS AND ABILITIES

The requirements listed below are representative of the knowledge, skill, and/or ability required in this job position.

  • Relevant industry experience in Northland’s industry sectors
  • Significant experience in the execution of financing transactions including IPOs, follow-on offerings, convertible debt and debt transactions.
  • Significant experience in structuring, negotiating and closing M&A transactions.
  • The ability to manage multiple projects, provide complicated financial analysis, and develop appropriate corporate finance solutions with a proven track record working on executed deals.
  • Proficiency in Microsoft Office Suite:  Excel, Word, PowerPoint and Outlook
  • Strong quantitative and analytical skills
  • Strong communication, interpersonal and organizational skills.
  • Develops and maintains client and investor relationships.
  • Demonstrate strong work ethic and commitment to team atmosphere.
  • Ability to multitask and manage time effectively.
  • Strong attention to detail

MINIMUM EDUCATION AND EXPERIENCE

  • BA/BA degree required
  • FINRA SIE, 7, 63 and Series 79 License (or equivalent registrations)
  • MBA highly desirable
  • Minimum of six years in Investment Banking or ECM related positions such as Institutional Equity Research or Capital Markets experience
