Job Description

The Director, Commercial Counsel is a senior leadership role responsible for providing strategic legal counsel and guidance on commercial matters to the organization. Reporting directly to the Head of Commercial Legal in EMEA, the Director will lead a team of legal professionals and collaborate with various stakeholders across the company to ensure legal compliance, risk mitigation, and support for commercial transactions.

  • Commercial Legal Strategy: Develop and implement the company's commercial legal strategy in alignment with overall business objectives. Provide innovative solutions and proactive legal advice to support business growth while managing associated legal risks.
  • Contract Review and Negotiation: Oversee the review, negotiation, and drafting of a wide range of commercial agreements, including but not limited to, sales contracts.
  • Compliance and Risk Management: Ensure the organization's compliance with relevant laws, regulations, and industry standards. Identify potential legal risks and develop strategies to mitigate them effectively.
  • Business Partner Collaboration: Collaborate closely with various internal stakeholders, such as sales, marketing, finance, and operations teams, to provide legal guidance and ensure legal support is integrated into business decisions and initiatives.
  • Team Leadership: Lead and manage a team of commercial legal professionals in Northern and Southern Europe, providing mentorship, guidance, and fostering a collaborative and high-performing work environment.
  • Dispute Resolution: Develop strategies to resolve challenges efficiently and in the company's best interest.
  • Regulatory Compliance: Stay up to date with relevant laws, regulations, and industry developments affecting the company's commercial activities. Implement compliance programs and training as necessary.
  • External Relations: Represent the company in negotiations with external parties, including customers, and government agencies.

Qualifications

To be successful in this role you have:

  • Degree from an accredited law school and preferably active membership in a relevant State Bar.
  • 12+ years of experience as a practicing attorney, with a focus on commercial law and contract negotiation.
  • At least 3-5 years of experience in a managerial or leadership role within an in-house legal department.
  • In-depth knowledge of commercial law, contract law, and relevant regulatory frameworks.
  • Strong negotiation, analytical, and problem-solving skills.
  • Excellent communication and interpersonal abilities to work effectively with various stakeholders at all levels of the organization.
  • Excellent negotiating and influencing skills, and a talent for non-confrontational, win-win negotiations
  • Proven ability to lead and motivate a team of legal professionals.
  • Demonstrated track record of providing strategic legal counsel to support business goals.
  • Sound judgment and ability to balance legal risks with business objectives.
  • Language Skills are an advantage
