What will you be doing?
The Associate General Counsel (AGC), Corporate/Mergers & Acquisitions will have global responsibilities across a broad spectrum of corporate legal matters, including:
(i) providing legal counsel on mergers, acquisitions, and other strategic transactions;
(ii) overseeing entity management and subsidiary governance, including general corporate support for Circana’s entities in over 20 countries; and
(iii) offering corporate legal guidance to internal teams such as Accounting, Treasury, Tax, and Corporate Communications.
Reporting to Circana’s Deputy General Counsel, Corporate, Securities & Litigation, and working closely with the Strategy and M&A teams, you will be a key contributor to Circana’s cross-functional M&A team. You’ll support the company’s growth strategy throughout all phases of the transaction lifecycle—evaluating potential acquisitions and investments, structuring deals, conducting due diligence, negotiating transaction documents, executing deals, and supporting post-transaction integration. Over time, your role may expand to include additional areas of the legal team’s work.
Job Responsibilities
- Strategic Transactions: Advise on mergers, acquisitions, joint ventures, equity investments, divestitures, and related financing activities aligned with Circana’s global growth strategy.
- Deal Lifecycle Support: Lead legal aspects of transactions, including target assessment, due diligence, structuring, negotiation, documentation, execution, and integration.
- Cross-Functional Collaboration: Partner with internal teams to structure and negotiate deals that align with business goals and risk tolerance, ensuring legal compliance throughout.
- Training & Guidance: Provide M&A-related training and strategic legal guidance to internal stakeholders, including executive leadership.
- Project & Outside Counsel Management: Serve as legal project manager on transactions, coordinating internal legal resources and managing outside counsel.
- Entity Governance: Oversee subsidiary governance and entity management for Circana’s operations in 20+ countries, including compliance, director/officer appointments, and entity consolidation.
- Corporate Legal Support: Provide legal counsel to internal teams such as Accounting, Treasury, Tax, and Corporate Communications on general corporate matters.
Qualifications & Key Attributes
- Juris Doctor (J.D.) from a nationally recognized law school; licensed and in good standing in at least one U.S. state.
- 5–10 years of M&A experience, including at least 3 years at an Am Law 200 firm.
- Strong experience managing all phases of M&A transactions in a fast-paced, dynamic environment.
- Excellent communication, negotiation, and project management skills.
- Business-oriented legal judgment with a proactive, solution-focused mindset.
- Collaborative team player with the ability to lead and influence across functions.
