Planned Parenthood Federation of America (PPFA) is a 501(c)(3) charitable organization that supports the independently incorporated Planned Parenthood affiliates operating health centers across the U.S. Planned Parenthood Action Fund is an independent, nonpartisan, not-for-profit membership organization formed as the advocacy and political arm of Planned Parenthood Federation of America. The Action Fund engages in educational, advocacy, and electoral activity, including grassroots organizing, legislative advocacy, and voter education.
Planned Parenthood Federation of America (PPFA) and Planned Parenthood Action Fund (PPAF)seek a highly organized, detail-oriented and effective Associate Director of Contract Administration. This job reports to the Managing Director for the Office of General Counsel/Senior Director of Contracts Administration [temporarily to the Associate General Counsel - Contracts (“Contracts Attorney”)] in the Office of the General Counsel (OGC).
OGC - which is comprised of 3 departments (General Counsel’s Office, Risk & Ethics and Board Affairs all reporting to the General Counsel) - provides clear, reliable and timely advice and support to PPFA, Action Fund, PP Global, Planned Parenthood Federal PAC, and Planned Parenthood Votes (“National Office”) staff, enabling the organization’s strategic objectives to be achieved in ways that reflect Planned Parenthood values, risk tolerance, culture, and adherence to legal and ethical principles. To do so, OGC supports the national office program and infrastructure teams in structuring and documenting, as well as assessing and mitigating the risks of complex transactions, projects, and policy initiatives. OGC provides legal guidance in areas including health care, technology, fundraising, advocacy, electoral, and general corporate matters. The attorneys and professionals within the OGC’s Contracts Team draft, review and shepherd through to approval of thousands of contracts and grants for the National Office every year. Purpose: Reporting to the Managing Director of the Office of General Counsel/Senior Director of Contracts (“Contract Admin Leadership”), the Associate Director assists the Contract Admin Leadership to ensure that the work of the National Office is properly protected by relevant contracts and grant agreements, in whatever form they take (e.g., NDA, MOU, MSA/SOW, etc.), and with consideration of various funding sources (501(c)(3); 501(c)(4); 527). The Associate Director provides end-to-end contracting administration support for organizational clients of OGC’s Contract Administration Team and provides contract administration support, organizational and administrative (word processing and edits) support to help implement the strategic goals and initiatives of OGC. Specifically, the Associate Director manages the National Office’s Nondisclosure Agreement (NDA) System, Partner Intake System, intellectual property (IP) registrations, licensing agreements, and commercial co-ventures (CCVs). Engagement:●Delivers high-quality product and positive, professional client service by adapting to urgent deadlines, changing demands, and shifting priorities.●Assists Contract Admin Leadership to ensure that OGC continues to be a trusted partner among organizational clients.●Represents OGC, Contracts Administration, and Partner Intake at external and internal meetings, conferences, and internal trainings.●Coordinates Contract Administration work with internal legal staff and outside counsel.●Works closely with clients from other departments and organizational units.● Works with other departments, vendors and stakeholders to complete due diligence.
Delivery: Working under the direction of the Contract Admin Leadership, the Associate Director adapts to changing demands and shifting priorities, always with a view to delivering high-quality service and product. The Associate Director:
