Requirements

Contract Review and Negotiation:

  • Thoroughly review and analyze defense contracts, identifying risks, obligations, and opportunities.
  • Collaborate with internal stakeholders to negotiate favorable terms and conditions.
  • Ensure compliance with federal regulations and industry standards.
  • Ensure compliance with all relevant laws and regulations, including the Federal Acquisition Regulation (FAR) and Defense Federal Acquisition Regulation Supplement (DFARS).
  • Provide guidance and support to sales and contracts teams on contractual issues, including contract interpretation, performance, and disputes.
  • Identify and mitigate potential contractual risks and non-compliance.
  • Assist in the bid proposal writing and submission for new contract opportunities.

Supplier Relations:

  • Work closely with our procurement team to manage supplier relationships.
  • Draft, review, and negotiate supplier agreements, including terms related to pricing, delivery, and quality.
  • Address any legal issues arising from supplier interactions.
  • Assist in analyzing marketplace and determining product offering on schedule type contracts.


 Risk Mitigation:

  • Assess legal risks associated with defense contracts and propose mitigation strategies.
  • Advise on intellectual property protection, export controls, and compliance with government requirements.
  • Monitor contract performance and address deviations promptly.
  • Provide training and guidance to members of the contracts team.

Qualifications:


Education

  • Juris Doctor (JD) degree from an accredited law school.

Experience

  • Minimum of 3 years of legal experience, preferably in corporate law, contracts, and compliance.
  • Familiarity with government contracting regulations (e.g., FAR, DFARS) is advantageous.
  • Licensed to practice law in at least one state and in good standing in all state bars where admitted. If not admitted in Illinois, must successfully apply for in-house counsel licensure with the State Bar of Illinois.

Skills

  • Strong analytical, negotiation, and communication skills.
  • Ability to work collaboratively with cross-functional teams. 
  • Knowledge of FAR, DFARS, US Government industrial security and related regulations.
  • Develop, maintain and implement import/export compliance policies, procedures, and controls.
  • Review and investigate potential trade compliance violations and, as needed, advise on remediation efforts.
  • Promote ethical behavior within our organization and ensure compliance with anti-corruption laws.
  • Understand Darley’s strategic goals, market dynamics, and competitive landscape.
  • Collaborate with external counsel as needed.
  • Assist with objectives and initiatives within the Legal Department.
  • Perform other related duties as assigned.
  •  Travel as needed.
