Senior Paralegal (Sales Support)

The Senior Paralegal, Sales/Commercial Transactions will be part of the Zelis Sales Legal Team and responsible for managing corporate contracts and agreements. The Senior Paralegal will collaborate closely with attorneys, sales, account management, business stakeholders, clients and external parties to intake, prepare, track and manage legal and contract requests, draft, review and revise various types of contracts, and assist with contract administration, including templates and executed contracts. The candidate will possess strong organizational and communication skills, attention to detail, be a team player, and have a proactive approach to problem solving. The Senior Paralegal will report to the Vice President—Managing Counsel, Sales and work closely with fellow Sales Legal Team members and other members of the Zelis Enterprise Legal team to provide effective, efficient, and timely legal advice to the Zelis Sales.
RESPONSIBILITIES:
Matter and Process Management: Intake, track, assign and manage incoming legal requests – for contracts or other legal support needs. Manage workflow of legal requests and contracts to ensure timely processing. Assist with process improvements and efficiencies.
Contract Preparation and Review: Draft, review, and revise various types of corporate contracts, including but not limited to, non-disclosure agreements (NDAs), business associate agreements (BAAs), service agreements and statements of work (SOWs). Ensure contracts comply with company policies, legal requirements, and regulatory standards. Collaborate with attorneys to negotiate terms and conditions with external parties.
Contract Management: Managing contract templates / forms and versions, including inventory and version history. Administer and manage requests and contracts within company’s contract management tool, including standard contract forms and maintain fully executed contracts. Ensure appropriate contract authorizations.
Legal Research, Contract Review and Analysis: Perform legal research and/contract review as requested by attorneys and provide analysis and recommendations to support decision-making processes related to contract interpretation, contract drafting and negotiation.
Administrative Support: Assist attorneys with document preparation and correspondence between internal and external parties as needed.
Experience, Qualifications, Knowledge and Skills
Bachelor's degree in Paralegal Studies, Legal Studies, or related field.
Paralegal certification preferred.
5+ years of experience working as a corporate paralegal, preferably in contract management or transactional law.
Proficiency in contract drafting, reviewing, and negotiation.
Experience with contract management system preferred.
Strong understanding of contract law and legal terminology.
Excellent communication and interpersonal skills.
Ability to prioritize tasks and manage multiple deadlines effectively.
Proficiency in Microsoft Office Suite.
In-house experience preferred, but not required.
Experience working with sales teams to close transactions.
Collaborative team player with a professional attitude and strong sense of discretion.
Ability to function in fast paced, dynamically evolving and rapidly growing start-up environment.
