Position Overview:  

Diligent is seeking a talented, collaborative and experienced in-house commercial lawyer for an in-house Senior Legal Counsel to support our Commercial and Product teams. 

As a member of the global legal team you will provide legal support and advice primarily to sales, customer success, marketing & products teams across EMEA and work collaboratively with other lawyers across the region. The role will have an emphasis on drafting and structuring contracts with clients, prospective clients, and vendors but will also involve a variety of other corporate and commercial legal matters as they arise.   

Key Responsibilities  

  • Review, draft and negotiate a wide range of commercial contracts, including SAAS, service level/support agreements, consultant agreements, DPA, and vendor agreements to ensure they meet legal, business, operational, and technical requirements. 
  • Assume responsibility for the entire client contracting cycle, from initial draft to finalization and signature, driving contract negotiations to timely and successful completion. 
  • Advise Product and Engineering teams on issues related to the development and rollout of new products and features throughout the product development lifecycle for Diligent’s governance, risk, and compliance offerings. 
  • Stay up-to-date on EMEA and (as applicable) international laws and regulations.  
  • Identify legal issues in product development plans and work with the appropriate internal clients to create solutions and minimize risk.  
  • Establish relationships with key stakeholder departments, including Sales, Customer Success, Marketing, Finance, Product, Engineering, and Security. Participate as a proactive and strategic business partner to senior managers and be a trusted advisor.  
  • Maintain superb attention to detail and provide timely legal support in a high volume, fast-paced environment to help the Diligent team navigate a complex and ever-changing regulatory environment. 

Required Experience/Skills  

  • 6– 10 years PQE.
  • Experience reviewing and drafting contracts is required. International experience in EMEA is a strong plus. 
  • Experience with commercial contracts, in particular handling issues related to intellectual property and privacy/data protection is required. Experience in IT, procurement, software licensing or SaaS is a strong plus, as is familiarity with European regulations that may apply to tech companies (e.g.. DORA, DSA, EBA Guideline etc.).  
  • Foreign language fluency in Spanish, French or German is a strong plus.  
  • Excellent interpersonal skills with the ability to relate comfortably at all levels with our internal clients, both in EMEA and internationally. 
  • Highly motivated, strategic, detail-oriented individual with the ability to pro-actively organize a heavy workload and demonstrate excellent analytical abilities. 
  • Proficiency in Microsoft Office (Word and Outlook) is required
