Job Description
The Corporate Counsel, Contracts will provide critical operational support to the Legal, Ethics & Compliance Department. The role will report to Senior Counsel and lead the contract support for clinical/study agreements in the Research and Development Medical Affairs (RDMA) organization. In addition, the Corporate Counsel, Contracts will provide contracting support to a wide array of internal clients across the organization, such as HR, Commercial Operations, Marketing, and Medical. The Corporate Counsel, Contracts will review, draft, and negotiate the company’s agreements and support day-to-day contract management.
The Corporate Counsel, Contracts will have a clear understanding and acumen for the company’s contract life cycle management and will be responsible for partnering with the business in North America to ensure that contracts are completed accurately and in a timely manner, with appropriate consideration for business needs as they arise, and also ensuring a culture of compliance and appropriate risk management is maintained. The Corporate Counsel will be responsible for the following activities, which include, but are not limited to:
- Draft, review, and negotiate contracts, including without limitation clinical trial and research agreements, master services agreements and statements of work, consulting agreements, confidentiality agreements, HCP agreements, and real estate leases.
- Draft fallback language and contractual clauses with or without the use of templates.
- Effective communication with internal clients and partners to evaluate priorities and understand risks associated with various contracts and projects.
- Provide practical, risk-based, and business-oriented legal counsel regarding contracts to internal stakeholders.
- Interpret key contractual provisions and interface with internal stakeholders and external parties to gather specifications and terms necessary for contract drafting and negotiations.
- Actively help implement and manage contract management tools and other technology adopted by the Legal Department.
- Work closely with members of other departments (e.g. RDMA, Finance, Compliance, and Pharmacovigilance) to help ensure contracts are compliant with cross-functional policies and procedures.
- Identify internal training needs and support in the development and presentation of training materials on contracting process, relevant laws/regulations, and/or business issues.
- Help develop and update contract templates, training materials, and relevant portions of the Legal, Ethics & Compliance Department’s policies.
- Support and advise on privacy in clinical agreements, with opportunity to become privacy lead within Legal and Compliance.
- Support Senior Counsel and/or General Counsel in completion of special projects such as collaborating on department-wide or company-wide initiatives, as requested.
- Additional duties as assigned.
Qualifications
- 6+ years of transactional experience drafting and negotiating a wide variety of contracts relevant to the life sciences industry, with minimal supervision. Prior in-house experience as a member of a legal department in a biotechnology or pharmaceuticals company strongly preferred.
- Experience with clinical trial/research contracting required.
- Experience with managed markets contracting preferred.
