About the role

Scout is seeking a Senior Finance Attorney to support our growing renewable‑energy platform. In this role, you will leverage your background in project finance, corporate finance, and commercial lending transactions to facilitate the development, financing, construction, and long‑term operation of Scout’s wind, solar, and energy storage projects. 

This is a hands‑on transactional role where you will work closely with the finance team to negotiate and draft complex financing documentation, support internal teams across the project lifecycle, and play a meaningful part in enabling the clean energy transition. You will work together with development, finance, M&A, construction, and asset‑management stakeholders, as well as external counsel, lenders, investors, and counterparties. 

You will report directly to our Senior Counsel and work alongside a team of Senior Counsels, Attorneys, and Paralegals in a collaborative environment where creative problem‑solving and proactive engagement are valued. 

 

Responsibilities 

Financing Transactions  

  • Review, analyze, and negotiate, and review credit agreements, security documents, intercreditor agreements, tax equity agreements, guarantees, and other loan‑related documents for a variety of debt finance and tax equity transactions. 
  • Support the execution and management of project‑level financings, including construction loans, back‑leverage debt, tax‑equity structures, and portfolio‑level financings. 
  • Support the execution and management of corporate-level financings, including revolving credit facilities, letter of credit facilities, and equipment financing transactions. 
  • Assist in structuring and executing project development and finance transactions across renewable‑energy technologies (wind, solar, storage).  
  • Lead and coordinate due‑diligence efforts, including review of legal diligence Q&A, project documents, contracts, permits, legal opinions, tax certificates, and corporate materials, and preparation of disclosure schedules. 
  • Support corporate and project‑level M&A transactions, including acquisition and sale of development‑stage and operating assets. 

Cross‑Functional Legal Support 

  • Provide legal support to internal teams (project finance, development, M&A, asset management) on transactional risk identification, mitigation strategies, and compliance considerations. 
  • Collaborate with commercial, technical, and financial stakeholders to align legal strategy with business objectives. 
  • Support the negotiation of equipment supply, construction, offtake, hedging, and other commercial agreements that may interact with financing structures. 
  • Review and provide guidance on internal approval processes, deal summaries, investment memoranda, and lender/investor deliverables. 

 

Process, Communication & Collaboration 

  • Help develop internal best practices, templates, and playbooks for financing transactions to increase efficiency as Scout scales. 
  • Communicate complex transactional and financial concepts clearly to both legal and non‑legal colleagues. 
  • Develop and manage relationships with external finance and tax counsels to optimize transaction structures and ensure compliance with current tax and regulatory frameworks (e.g., IRA incentives, direct pay, ITC, PTC). 
  • Engage directly with external counsel, lenders, investors, and counterparties to maintain transaction momentum and ensure timely closings. 

 

Requirements

  • 3–5 years of experience in finance, project finance, banking, or structured finance transactions at a law firm or in‑house legal department. 
  • Experience drafting and negotiating loan agreements, security documents, and related financing instruments.  
  • Juris Doctor from an accredited law school. 
  • Licensed to practice law in at least one U.S. state, with ability to obtain CO admission or in‑house counsel certification if applicable. 
  • Strong writing skills, attention to detail, and organizational ability. 
  • Excellent interpersonal skills with the ability to work collaboratively in a multidisciplinary environment. 
  • High attention to detail and ability to manage multiple transactions simultaneously. 

Preferred 

  • Experience in renewable‑energy project finance, including tax‑equity or back‑leverage transactions.  
  • Familiarity with commercial contracts frequently used in renewable energy: PPAs, EPC agreements, O&M contracts, hedge arrangements, supply agreements.
