Your Team  

The Corporate Law Team is committed to providing legal support and consultation in connection with corporate transactions, strategic investments, reinsurance maintenance of the legal entity organization, and corporate governance matters.  The Team manages the legal entity organization consisting of nine regulated insurance companies and eight non-insurance companies, which involves adhering to corporate formalities (board and committee meetings, board resolutions, officer and director certifications) and holding company act compliance for the AGCS North America companies.

 

The Impact You Will Have  

Reporting to the Vice President – Head of Corporate Law, you will join the team as a Senior Corporate Analyst who will utilize your corporate law and legal entity knowledge to administer and continually innovate the Corporate Regulatory Compliance function.  You will use your subject matter expertise to identify and submit proper Holding Company Act filings which involve detailed corporate administration and compliance activities and regulatory research.

 

Some of your specific responsibilities could include

  • Holding Company Act Administration, including soliciting and processing intercompany agreements for regulatory approval, drafting and filing prior approval requests with oversight/assistance of sponsor as necessary, and responding/coordinating response to DOI information requests as necessary. 
  • Plan, draft and file annual registration statements in all states of domicile, including coordinating the collection of required attachments and appendices.
  • Research and draft or update procedures/processes for administration of annual registration statement filings taking into consideration changes in laws and regulations.
  • Review and maintain Service Level Agreements related to Group Agreements, accurate intercompany organizational chart and schedule of intercompany transaction limits applicable to all legal entities. 
  • Assist with corporate transactions including obtaining corporate approvals for complex mergers, acquisitions, and dissolutions.
  • Assist with corporate transactions including drafting and proofing documents and applications, forming and dissolving legal entities, drafting legal closing documents for complex strategic transactions and responding to regulators’ requests for information regarding corporate structuring changes.
  • Research, document and ensure compliance with statutory and regulatory requirements related to the corporate administration of the AGCS NA legal entities (e.g., retain and organize all significant corporate transactional documents and records in accordance with document retention policies, update and process the annual Form F and the Corporate Governance Annual Disclosure and oversee review and approval of Corporate Rules and Policies.
  • Assist with the oversight of AGCS NA System of Governance and adherence to Solvency II Policies, serving as North American Governance Caretaker.

 

What You’ll Bring to the Role

  • 5+ years of corporate paralegal/regulatory compliance experience
  • Paralegal degree preferred;
  • Expert knowledge of insurance and corporate legal disciplines, with advanced knowledge across multiple states and jurisdictions in which AGCS NA operates;
  • Strong regulatory and compliance experience, including relevant policies, laws and regulations across multiple jurisdictions;
  • Independent thinker with outstanding analytical skills and an ability to analyze complex data/information from multiple sources;
  • Ability to build and foster relationships across and at varying levels within the organization, maintaining discretion at all times; and
  • Excellent attention to detail with an ability to multitask and manage multiple projects simultaneously in a deadline driven environment.

 

The annualized base pay range for this role is $77,795 - $133,436. The annual base salary range represents a nationwide market range. The actual salary for this position may be above and will be determined by a number of factors, including the scope, complexity and location of the role; the skills, education, training, credentials and experience of the candidate.
