Position Summary

The Senior Legal Counsel – Real Estate and Pharmacy Acquisitions position will fill a critical legal need for the company by providing strategic legal support on an independent basis to internal business partners with respect to pharmacy acquisitions, real estate matters, and pharmacy growth initiatives.  In this role, you will serve as the lead attorney for key and complex transactional matters and related initiatives to support business objectives and drive effective legal outcomes. In doing so, the role must handle and manage a high volume of matters and transactions in an efficient and effective manner while helping to identify, assess and mitigate risk to the enterprise.  You will also identify business and legal risks and provide solutions that balance legal issues and business objectives, working closely with senior/executive management to achieve successful results.

To be successful in this role, you will need to:

  • Provide strategic transactional legal support for all aspects of pharmacy acquisitions and Front Store and other PCW-based initiatives.
  • Provide strategic, business-centric and practical legal guidance and advice to internal clients on all aspects of relevant transactional law.
  • Provide strategic legal support for real estate aspects of corporate M&A.
  • Provide strategic legal support for all aspects of real estate transactional matters, including leases, acquisitions, dispositions, and sale-leasebacks.
  • Work collaboratively with internal clients, including partners in Pharmacy Growth, Retail Operations, Facilities, Real Estate, Treasury, Finance, Lease Administration and Construction, and others in the Corporate Affairs department, to drive successful execution of business strategies and initiatives.

Major Responsibilities

  • Provide transactional legal services, advice and guidance on retail and specialty pharmacy acquisitions, including drafting and negotiation of transaction documents and managing other legal issues that arise from acquisitions and similar third-party arrangements
  • Provide commercial real estate legal services, advice and guidance in support of a wide range of sophisticated real estate transactions, including drafting and negotiating transaction documents and managing real estate legal issues that arise from the operation and management of CVS’ enterprise real estate portfolio
  • Provide strategic, business-centric and practical legal guidance and advice to internal clients in support of Front Store and other PCW-based arrangements, store-within-a-store locations and other enterprise growth initiatives while ensuring strategic risk mitigation


Required Qualifications

  • Juris Doctor from ABA-accredited institution required; Bar admission in good standing.
  • 8+ years of sophisticated corporate/transactional legal work in a law firm or in-house position.
  • Experience drafting and negotiating transactional agreements
  • Superior oral and written communication skills required.
  • Superior problem-solving and project management skills required.

Pay Range

The typical pay range for this role is:

$175,100.00 - $334,750.00


This pay range represents the base hourly rate or base annual full-time salary for all positions in the job grade within which this position falls.  The actual base salary offer will depend on a variety of factors including experience, education, geography and other relevant factors.  This position is eligible for a CVS Health bonus, commission or short-term incentive program in addition to the base pay range listed above.  This position also includes an award target in the company’s equity award program.
