POSITION PURPOSE
The Counsel/Senior Counsel position provides support and assistance to the Associate General Counsel and to the Corporate Legal department as a whole and will assume wide-ranging responsibilities for legal matters across the organization. The Counsel/Senior Counsel is expected to build relationships and maintain strong lines of communication with each business unit to provide advice; to implement, support and maintain compliance initiatives; and to achieve business objectives. The Counsel/Senior Counsel must have the ability to operate independently in a fast-paced environment and work proactively with various teams across the Nice-Pak/PDI organizations.
ESSENTIAL FUNCTIONS AND BASIC DUTIES
The Counsel/Senior Counsel interacts with senior management and each business unit within Nice-Pak and PDI. Under the direction of the Associate General Counsel, they will work with and supervise outside counsel in the disposition of various matters as appropriate. The Counsel/Senior Counsel is expected to be proactive in the application of their legal and business judgment to enable the companies to achieve their respective strategic business goals in a compliant manner.
- Draft, review, negotiate a range of complex agreements spanning all business areas and functional needs. Assist stakeholders in analysis of existing agreements, issue spotting, new business development, negotiation strategy, compliance, and other legal and business matters. Develop new forms of agreements based upon developing needs of the business.
- Proactively and strategically guide business units and shared services members on matters concerning legal compliance and contractual obligations.
- Monitor developments and changes to applicable laws, regulations, pending legislation and other governmental initiatives; analyze communicate and train the businesses on their application.
- Identify, develop, update, train and maintain internal policies, resources, form agreements, compliance programs.
- Manage and participate in other projects as required.

Requirements
EDUCATION/CERTIFICATION:
- Juris Doctor from an accredited U.S. law school and licensed to practice law in the State of New York.
REQUIRED KNOWLEDGE:
- Corporate generalist experience with strong contract drafting skills; exposure to litigation, employment and intellectual property matters is highly desirable.
EXPERIENCE REQUIRED:
- A minimum of 5 years of legal experience, preferably including experience as in-house counsel.
SKILLS/ABILITIES:
- Incumbent must be disposed to operate in a collaborative, responsive and proactive manner, gaining the confidence and trust of the business partners throughout the organization.
WORKING CONDITIONS
- No hazardous or significantly unpleasant conditions.
SALARY RANGE
- $150,000 - $160,000 annually
