About the Role

AESC US, LLC, is committed to the research, development, design, manufacture, and sales of high-power batteries for electrical vehicles (EVs) and energy storage, and has an open degreed/experienced position for Senior Corporate Counsel available in Santa Clara, CA. As a key member of AESC US LLC, you will play a crucial role in advancing our mission to lead in full-value-chain battery solutions for a sustainable future. Your work within the team will directly impact our strategic goals and contribute to our position as a global leader in battery technology.

What You Will Do 

  • Plays a critical role in the in-house legal department.
  • Provides strategic advice and guidance on corporate finance matters, including debt and equity financing, as well as strategic merger and acquisition transactions and joint venture and technology partners.
  • Conducts legal analyses on deals across a wide range of corporate finance matters, including debt and equity financings, mergers, acquisitions, divestitures, joint ventures, tech transfer deals and strategic alliances.
  • Drafts, reviews, and negotiates complex transactional agreements.
  • Oversees due diligence investigations and regulatory review to ensure successful transactions for the company.
  • Collaborates with internal teams, including strategy, finance, tax, and corporate development to ensure alignment and compliance with legal requirements.
  • Provides guidance on corporate governance matters, securities regulations, and compliance with applicable laws and regulations.
  • Provides support and advises Executive Management on legal implications and potential risks associated with business decisions.
  • Keeps abreast of legal and industry developments affecting corporate finance and mergers and acquisitions activities.
  • Coordinates and manages relationships with external legal advisors, ensuring cost-effective and efficient delivery of legal services.
  • Builds and manages an internal corporate finance and merger and acquisition team to meet the needs of the business.
  • Assists with global legal matters and transactions across the group in each region. Attends internal and external stakeholder meetings and negotiations.

What You Need

  • Admission to the New York or California Bar;
  • Five (5) years of professional experience as a practicing attorney, specializing in Merger and Acquisition activities;               
  • Five (5) years of professional experience as a practicing attorney, specializing in Corporate Finance activities;                                                     
  • Two (2) years of professional experience as a practicing attorney, specializing in domestic and cross border investments and financial products;                          
  • Two (2) years of professional experience conducting due diligence and providing general assistance with closing mechanics for corporate transactions;
  • Three (3) years of professional experience drafting, reviewing and negotiating complex transactional agreements;
  • Three (3) years of professional experience conducting legal analysis relating to debt and equity financing, divestures, joint ventures, tech transfer deals and strategic alliances;
  • Two (2) years of professional experience researching various issues for general corporate and securities matters;
  • Two (2) years of professional experience reviewing and revising various corporate finance filings.

Will accept a Juris Doctor degree from an ABA accredited law school and five (5) years of professional experience as a practicing attorney providing U.S. legal services with experience in corporate finance, and merge
