The Team

CAST (Corporate and Strategic Transactions) is a team within Capital One's Legal Department that is at the tip of the spear in executing on Capital One's transactional activity, including mergers & acquisitions, strategic investments, complex procurement and outsourcing contracts, line of business transactions, card programs, and corporate real estate transactions. In addition, the diverse group of attorneys and other legal professionals within CAST advise our diversified businesses on a broad range of business matters in a constantly changing, stimulating and collegial environment. Through its bold initiatives, state of the art infrastructure, breadth of talent, and dynamic work environment, the Legal Department of Capital One has become one of the most highly admired corporate legal departments in the country.

The Role

The Transactions Legal Specialist Senior Associate will be primarily responsible for (i) supporting the management of CAST operations and (ii) supporting a team of attorneys responsible for Capital One’s strategic transactions.  The Associate will perform a broad range of task and project-oriented support, including management of various operational processes and transaction management and assistance with form and templated agreements.

Primary Responsibilities:

  • Preparation of reports detailing CAST’s compliance with processes and procedures and the presentation of such reports to CAST leadership

  • Management of multiple processes in support of CAST operations and compliance with procedures

  • Co-manage non-disclosure agreement requests and Legal approval requests

  • Preparation of templated non-disclosure agreements, and review and resolution of comments to non-disclosure agreement 

  • Preparation of contractual amendments

  • Support attorneys in the management of complex transactions, including providing closing support and comment tracking

  • Preparation of intercompany agreements

  • Independently manage workload in an efficient manner

  • Identify and solve issues within scope and escalate to management when appropriate

  • Actively support and comply with team and department objectives

  • Assist with team administrative functions, special projects, and reporting

  • Work with management to identify and execute process improvements

The Person

The ability to manage multiple projects and play an important supporting role in the context of larger transactions is central to this role.

 

Basic Qualifications:

  • High School Diploma, GED, or equivalent certification

  • At least 3 years of experience in either project management or a paralegal role

  • At least 1 year of experience in administrative support

 

Preferred Qualifications:

  • Bachelor's degree or military experience

  • Project management certification

  • 4+ years of experience in project management

  • 4+ year of experience in a law firm or legal department 

  • Paralegal certification
