Job Summary:

Under the supervision of the Bechtel Enterprises’ Manager of Legal, provide advice and support to corporate strategy, business and project development teams, and senior leadership on legal and commercial issues involving mergers & acquisitions strategic investments, joint ventures and other corporate transactions for Bechtel worldwide. 

Major Responsibilities:

• Work closely with various development teams, corporate strategy, and other legal and non-legal cross-functional teams from our business lines to lead strategic transactions from NDA through post-closing integration.
• Serve as a subject matter expert on finance-related and M&A legal matters, offering guidance and counsel to deal teams and stakeholders.
• Assist in structuring finance, project development and M&A transactions to optimize value, mitigate legal risks, and ensure alignment with the company’s strategic objectives.
• Draft, review, and negotiate agreements at all stages of the transaction lifecycle, including term sheets, definitive acquisition agreements, shareholder agreements, joint development agreements, development loan agreements and other transaction documents.
• Conduct thorough legal due diligence on potential partnership and acquisition targets to identify and mitigate risks, ensure compliance, and support informed investment decisions.
• Stay updated on relevant laws and regulations impacting finance and M&A transactions and ensure full compliance throughout the process.
• Oversee the organization and maintenance of legal documents related to finance and M&A transactions, ensuring accuracy and accessibility.
• Work closely with deal teams, external legal advisors, and other stakeholders to drive M&A and finance initiatives.
• Advise deal teams on the company's internal protocols and procedures to ensure that compliance is maintained.

Education and Experience Requirements:

• Bachelor of Laws (LL.B.) or Juris Doctor (JD) degree.<
