About the role

The Corporate Counsel is a key legal advisor assisting the General Counsel in providing guidance to all the company’s business lines and corporate departments.   This role will navigate the interconnections between complex legal issues and the company’s various business activities and objectives supporting critical strategic initiatives.  The Corporate Counsel will collaborate closely with senior leaders to drive the organization forward, focusing on legal standards and business outcomes, while ensuring legal and regulatory compliance.   The Corporate Counsel will work on a wide range of legal matters, including commercial transactions, employment law, intellectual property, litigation, real estate, privacy and compliance.  This role requires a detail-oriented professional who can collaborate with internal teams and senior management while ensuring the company's legal and regulatory obligations are met.  The Corporate Counsel operates with limited supervision and therefore requires a high level of balanced judgment and an ability to independently discern and establish priorities.

  •  Provide legal support across various company functions and collaborate with senior legal team members and business stakeholders 
  • Work closely with the Contracts Coordinator to oversee the company’s internal contract management databases
  •  Review, interpret and analyze existing contracts for internal stakeholders 
  • Prepare correspondence to third parties as requested by the General Counsel
  • Conduct legal research and analysis on complex legal issues and stay abreast of relevant legal developments
  • Develop and implement policies and procedures to ensure compliance with company policies and applicable laws and regulations
  • Conduct legal risk assessments and develop mitigation strategies
  • Lead or contribute to the development and refinement of legal forms, processes, and procedures
  • Coordinate and manage work with external legal counsel.
  • Support M&A transactions through due diligence, document review, and post-closing activities
  • Drafting, reviewing, and negotiating various types of agreements with vendors, partners, and customers
  • Assisting internal stakeholders with legal inquiries, customer assessments, RFPs, and miscellaneous requests
  • Identifying potential legal or operational issues and coordinating with appropriate stakeholders
  • Collaborate with cross-functional teams to ensure contract terms and conditions align with business objectives and risk tolerance
  • Support General Counsel and external counsel with litigation matters
  • Draft, review, and approve organization policies, procedures, and legal documents  
  • Collaborate with internal teams to develop and implement strategies that enhance operational efficiency and legal compliance 
  • Identify and mitigate legal and business risks associated with strategic initiatives, providing guidance on potential disputes and resolutions 
  • Maintain up-to-date knowledge of changes in employment, healthcare, intellectual property and other relevant laws and industry practices that could impact the company’s business
  • Oversee and manage corporate policies, procedures, and internal legal audits
  • Ensure compliance with applicable laws, regulations, and industry standards (e.g., data privacy regulations)
  • Advise senior management on legal matters and potential legal implications of deal structures
  • Stay current on legal developments and industry trends that may impact the organization
  • Performs other related duties as assigned by management.

Requirements

  • Juris Doctor (JD) degree from an accredited law school
  • Licensed to practice and in good standing in at least one U.S. jurisdiction
  • 5+ years of experience (3 years in-house experience)
  • US Citizen
  • Excellent oral and written communication skills
  • Strong analytical and problem-solving skills, with the ability to identify legal risks and develop strategic solutions that most effectively facilitate the company’s business operations and objectives
  • Strong negotiation and drafting skills, with a high level of attention to detail
  • Risk-based thinker with ability to multitask and work in a fast-paced environment
  • Proficiency with Word, PowerPoint, and other corporate standard software required 
  • Experience providing counsel in the healthcare industry (pharma/biotech preferred) and familiarity with privacy rules and regulations
  • Strong organizational skills and ability to handle multiple responsibilities and priorities simultaneously and still meet high quality and timeliness standards under pressure
  • Strong interpersonal skills and proven ability to work collaboratively in cross-functional/multi-disciplinary teams
