Inside the Role

The Corporate and Business Innovation Paralegal will play a crucial role in managing governance matters, maintaining corporate records, and supporting our intellectual property portfolio. The ideal candidate will have a strong background in corporate law with some exposure to IP management or a willingness to learn, with excellent organizational and communication skills. This role will provide an opportunity to learn and develop skills regarding IP for an individual with a learning mindset and a willingness to be a versatile and valuable member of a small and powerful legal team.

Position offers a starting salary range of $61,500.00 - $79,000.00 USD

Pay offered dependent on knowledge, skills, and experience

What You Drive at DTNA

Corporate Duties:

  • Maintain corporate books and records, including databases of US and Canadian legal entities, especially D&O, registrations, and annual reports.

  • Prepare documents and communications needed for elections of officers and directors.

  • Provide information, copies of documents, and certificates to internal and external clients.

  • Oversee entity management and corporate services, including incorporations, amendments, qualifications, withdrawals, name changes, D.B.A’s, and tracking registrations/filing annual reports (100+) for US and Canadian subsidiaries, with support from CT Corp's registered agent and entity management services.

  • Obtain apostilles and other legalizations of corporate records and other documents.

  • Manage billing and budgeting for the above activities.

Business Innovation Duties(to be learned over time):

  • Provide backup support for the primary IP paralegal to maintain and organize the company’s IP portfolio and dockets, including patents, trademarks, copyrights, and trade secrets, across both domestic and international jurisdictions. Track deadlines and renewals, ensuring all filings and registrations are up to date.

  • Work with and assist with the management of our third-party service providers including oversight of the timely preparation, review, and filing of IP applications, renewals, and maintenance. Liaise with external IP counsel, regulatory agencies, and foreign IP authorities as necessary.

  • Support compliance with IP laws and regulations by maintaining accurate records and monitoring IP-related activities.

  • Conduct research on IP-related matters, including using search and analysis tools to search trademark availability, develop patent landscapes, and research competitor IP. Provide summaries and insights and develop presentations to support IP strategy development.

  • Assist in monitoring and enforcing IP rights by identifying potential infringements and supporting legal actions as needed. Collaborate with internal teams to manage IP conflicts and disputes, and coordinate with outside counsel as needed.

  • Assist in developing guidance and training to business units regarding IP policies and processes. Assist in process development, answering questions and resolving issues related to IP management.

Knowledge You Should Bring

  • Bachelor’s degree.

  • Minimum of 3 years of experience in corporate law and experience with a corporate law firm or in an in-house corporate environment.

  • Active notary public or willingness to obtain notary certification.

  • Strong understanding of corporate governance.

  • Adaptable and willingness to contribute to the success of a small legal team.

  • Computer savvy with experience in Microsoft 365 and data/document management software tools and a demonstrated ability and willingness to learn new software tools.

  • An exceptional level of attention to detail and highly organized.

  • A desire and ability to develop IP skills to support the above responsibilities may supplement a lack of direct subject matter experience.
