Holman is looking for an Associate General Counsel - Treasury to join our team of high-energy passionate legal and compliance professionals. We are looking for an attorney to support our Treasury strategy as we expand our business and enter new markets and new products in an environment of rapid change. In this role you will work across the enterprise supporting growth and funding for all of our businesses and operations including Fleet, Retail, Robotics, Growth Ventures, Insurance and Manufacturing globally. What will you do?
- Provide day-to-day legal support to the Treasury department on matters related to cash management, secured and unsecured credit facilities, collateral management, risk management, banking products, and global treasury operations and capital management.
- Draft, review, and negotiate financing documents, including credit agreements, security agreements, mortgages, title insurance, bond offerings, syndicated loans, asset backed securities, real estate financing and other financial instruments, including guarantees and letters of credit. Advise on structuring and executing debt transactions, refinancing, and capital raising initiatives
- Provide legal advice related to structured and secured debt financing and other funding structures globally including US, Canada, Mexico, UK, and Germany, including creation of legal entities and registration requirements.
- Partner with the Treasury team to develop a funding strategy to support projected growth.
- Monitor and educate the business on requirements with Holman credit facilities, updates to lending and capital markets-related laws and regulations, including SEC and FINRA reporting
- Work with Treasury and the businesses to ensure governance and compliance with local, state, and federal laws and regulations regarding titling, perfecting security interests, as applicable. Establish process for approving customer contract deviations to ensure continued eligibility of collateral.
- Ensure that the company’s Treasury activities comply with applicable laws, regulations, and industry standards, including federal, state, and international regulatory and reporting requirements.
- Engage and manage outside counsel supporting Treasury activities and optimize cost and productivity.
- Provide identification of, and guidance regarding, regional, portfolio, and transactional risks and risk mitigation.
- Perform all other duties and special projects as assigned.
What are we looking for?
- Juris Doctor (JD) from an accredited law school.
- Must be a member in good standing of one or more state bars or the D.C. bar and where required, in house counsel registration or admission to the local state bar.
- 7-10 years of experience in corporate finance, structured finance, treasury, or capital markets law, with a focus on legal matters related to capital markets, structured products, securitization, as well as treasury operations, secured debt financing, and other financial transactions.
- Legal counsel experience in financial services and related commercial transaction areas and general corporate law gained at large multinational law firms and/or corporate legal departments
- Familiarity with the automotive retail and fleet management and financing industries and applicable state and federal laws preferred.
- Extensive experience working with departments and/or function(s) within and across other disciplines.
- Experience drafting and negotiating financial agreements, including credit facilities, loan agreements, bond offerings, and derivative contracts.
- Experience working in-house, preferably at a large financial services corporation or financial institution, is highly desirable.
- Establishes overall direction and strategic initiatives for the given major function or line of business.
- Strong understanding of corporate finance, securities law, and financing/treasury regulations.
