Senior Regional Legal Counsel NAM (Temporary)

About the role

We are currently seeking temporary legal support for our North American team. This is a short-term position that will run for 4-months (from September 1st until December 20th).

 

Primary Responsibilities

  • Serve as the first point of contact in the Legal & Compliance Department for all business colleagues across the United States and Canada
  • Partner with business colleagues to help Corbion achieve its commercial objectives by acting as a trusted legal advisor across Corbion’s two business units (Functional Ingredient Solutions and Health & Nutrition) and multiple departments (e.g., Sales, Procurement, Finance, Operations, etc.)
  • Draft and negotiate supply agreements, purchase agreements, distribution/agency agreements, consulting agreements, service agreements, construction agreements, and agreements relating to intellectual property matters
  • Ensure compliance with department and company-wide policies and procedures
  • Hold primary responsibility for independently managing litigation matters in connection with outside counsel, including document and information collection, review of pleadings, coordination of assistance from Corbion colleagues (i.e., identified witnesses), and participation in negotiations and dispute resolution
  • Assist business colleagues with dispute resolution of Corbion claims with respect to our vendors and suppliers (i.e., receipt of wrong product, contractor behind schedule, etc.)
  • Provide advice to manufacturing facilities throughout NAM with respect to agency inquiries and inspections (e.g., OSHA site visits)
  • Negotiate IP-related agreements, such as NDAs and Material Transfer Agreements; work closely with the IP Department to ensure adequate protections for intellectual property related matters in all agreements, including drafting relevant contract provisions with IP team input
  • Work with the Finance Department on insurance-related matters, annual reports, and other miscellaneous items
  • Consult with and assist HR colleagues across Corbion's North America locations in certain limited HR matters, including internal investigations, coordination with IT on evidence preservation, and other early-stage employment related matters
  • Assist with management of business registrations in connection with a registered agent vendor

 

Qualifications and Experience

  • J.D. degree from a U.S. law school or significant contract negotiation and litigation experience as a full-time paralegal
  • 5+ years of experience as a lawyer, or 10+ years experience as a paralegal, with experience working for in a law firm or company
  • Deep understanding and experience working on a combination of litigation, transactional and commercial contract matters
  • Experience applying and analyzing the Uniform Commercial Code and relevant competition laws
  • Experience working with external lawyers and law firms
