About the Role
POSITION
This analyst role, working in collaboration with other analysts and managers of the global Fund Risk & Governance Department, will contribute to both ongoing initiatives and new projects focused on Americas fund governance. The role will also work closely with a variety of other internal and external professionals, including those within the Product team, Legal & Compliance, Fund Services, and Tax, in researching internal information and regulatory, fund, & corporate requirements. The range of funds covered include hedge funds as well as funds investing in fixed income and equity instruments. As you gain experience and demonstrate your capabilities, you can progress to managerial roles and further develop cross-functional collaboration.
CORE RESPONSIBILITIES AND DUTIES:
1. Corporate Governance:
• Assist in drafting and maintaining governance templates, policies, and procedures for 40 Act funds as well as for funds in Cayman and Bermuda.
• Ensure compliance with the Investment Company Act of 1940 and other relevant regulations.
• Maintain and update the governance framework to align with regulatory changes and best practices.
• Prepare and file necessary documents with regulatory bodies such as the U.S. Securities and Exchange Commission.
2. Company Administration:
• Keep corporate information and directors’ details up to date on the entity management system and elsewhere.
• Maintain statutory records.
• Support the preparation and administration of board and shareholder written resolutions. Act as primary contact for document execution.
3. Board and committee support:
• Plan and manage board meetings.
• Prepare meeting agendas, distribute materials, and record meeting minutes.
• Ensure effective communication and documentation of decisions made during meetings and draft regular reporting.
• Coordinate with senior management.

• Proficiency in Microsoft Outlook, Excel, Word, and PowerPoint.
• Coding skills are an asset but not mandatory.
• Ability to understand, manipulate, and correctly report on various kinds of data.

• Strong organizational and time management abilities.
• Strategic mindset with the ability to execute from start to finish.
• Ability to work independently and as part of a team.
• Excellent attention to detail and analytical skills.

5. Experience and preferred knowledge:
• At least five years’ experience in governance, compliance, legal, or similar regulatory function and prior experience with the governance of 40 Act funds.
• Knowledge of capital markets.
• A strong interest in corporate governance, compliance, and regulatory matters.
