The Opportunity

The Assistant General Counsel at Root will play a pivotal role in advancing the company’s legal and regulatory objectives within a rapidly evolving, technology-driven insurance landscape. This position will serve as a key advisor and strategic partner to senior leadership, driving compliance across complex regulatory frameworks and supporting critical business initiatives. By providing expert guidance on corporate transactions, regulatory matters, and product development, the Assistant General Counsel will not only safeguard Root’s interests but also enable innovation and growth. Their leadership in managing regulatory interactions, overseeing compliance functions, and mentoring legal team members will strengthen the broader legal organization, ensuring Root remains agile, compliant, and positioned for continued success in a competitive market.

Salary Range: $115,000 - $140,000 (Bonus & LTI eligible)

How You Will Make an Impact: 

  • Provide support to the Sr. Deputy General Counsel on preparation and filing of periodic reports and other documents with the Securities and Exchange Commission (SEC) including: Form 10-K, 10-Q, and 8-K; Proxy statements; Form S-1, S-3, and other registration statements; Section 16 filings (Forms 3, 4, 5)

  • Provide direct support to the Senior Deputy General Counsel & VP of Compliance on all regulatory, compliance, and corporate matters.

  • Coordinate with internal teams (e.g., legal, finance, compliance, operations) to gather necessary documentation and organizational information to prepare and submit UCAA Expansion Applications to state insurance departments for company licensing and authority expansion.

  • Support the completion and submission of all corporate filings with domiciliary regulators, including Form Ds, Form B, ORSA, and ERM reports.

  • Monitor and provide analysis on countrywide changes to state statutes, regulations, bulletins and case law as they emerge to ensure compliance and possible impact to existing and proposed business plans.

  • Interface directly and lead discussions with state departments of insurance to advocate on behalf of the company and communicate company positions.

  • Assist in the evaluation of insurance department interpretations and laws in complex regulatory scenarios arising from market conduct examinations, regulatory inquiries, data calls, and catastrophe reporting; develop strategies and advocate for the company's position to minimize business interruptions.

  • Provide advice on state insurance rate, rule and form filings including objections and inquiries.

  • Provide legal and regulatory support in the development and rollout of countrywide product and rating initiatives.

  • Assist, as needed, in reviewing agreements related to new business partners to ensure protection of business interests, data, and property.

  • Other duties as assigned, not expected to exceed 5% of total responsibilities.

What You Will Need to Succeed

  • Law degree from an ABA-accredited law school.

  • 7+ years of experience in a mid- to large-sized law firm and/or in-house roles; or 5 years experience at an insurance company or high-growth tech company is strongly preferred.

  • Strong critical thinking, business acumen, and excellent judgment.

  • Ability to work independently, manage multiple priorities, and adapt in a fast-paced, high-growth environment.

  • Exceptional drafting and legal technical skills with a keen eye for detail.

  • Comfortable providing legal guidance on short timelines with limited information and executing business decisions involving legal risks.

  • Exemplary integrity and business ethics, with the ability to maintain confidentiality of sensitive information.
