Job Description

SummaryExperienced paralegal to manage detail-oriented and time sensitive projects involving commercial contracts, corporate governance, and document research. Instrumental in the administration and monitoring of all commercial contracts. Conducts the preparation and administration of agreements between the company and its customers, subcontractors, vendors, suppliers, and other business partners ensuring adherence to company policies and procedures for legal review. Prepares and maintains corporate resolutions, corporate minute books and supports corporate governance requests.   

Responsible for maintenance of existing agreements on an internal contract database, review and analysis of existing agreements as well as monitoring contract performance including milestones, deadlines, obligations and renewals. Position requires interacting with Chromalloy’s business team in support of its efforts to draft, administer and monitor agreements.

Primary Accountabilities:

  • Manage detail-oriented and time sensitive projects related to commercial contracts where accuracy, meeting deadlines and quality are critical.
  • Gathering information, drafting and revising a variety of commercial contracts from legal documents used in transactions by the company with attorney supervision.
  • Investigate and advise on new and updated regulations and their impact on existing and future contracts.
  • Establish and maintain effective communication with all support departments to facilitate problem identification and resolution; Provide direction to all functional areas to ensure contract compliance.
  • Interpret agreement terms and conditions and identifying potential issues, risks and areas of concern.
  • Maintain corporate minute books, drafting meeting notices, Board of Directors and shareholder consents and preparing other corporate organizational documents.
  • Track key renewal, notice and filing dates for organizational minutes, licenses and regulatory filings as well as contract termination, expiration and renewal dates.
  • Prepare PowerPoint presentations and develop and maintain Excel based databases and spreadsheets.
  • Work with the business units in researching and providing guidance and advice on contract interpretation, corporate governance, policies and procedures.
  • Obtaining and communicating information regarding existing business arrangements from global business managers.
  • Implement and enforce company policies and procedures with respect to commercial transactions.
  • Perform filing and maintain contract database and form documents / legal templates.

 

Qualifications

  • Bachelor’s degree or advanced degree in related field with a minimum of 5 years related experience
  • 5-10 years of progressive experience including at least 3 years in an equivalent role in a similar operating environment. 
  • In-house legal department or law firm experience with heavy focus on commercial contracts drafting is a plus. 
  • Aerospace industry experience also a strong plus.
  •   Advanced understanding of complex contracts and purchase order terms and conditions.
  • Advanced knowledge and thorough understanding of proper drafting, negotiation and use of contracts, subcontracts, supplier, non-disclosure and other forms of agreements.
  • Must exhibit a high level of discretion, professionalism, maturity and integrity.
  • Excellent computer skills using MS Excel, PowerPoint and other MS Office products.
