The Senior Corporate Counsel, U.S. Public Sector Compliance will spearhead the Company’s U.S. public sector ethics and compliance program and will act as the Company’s subject matter expert regarding compliance in the U.S. public sector, including compliance with the Federal Acquisition Regulations (FAR), Defense Federal Acquisition Regulation Supplement (DFARS), and other applicable U.S. federal, state, and local government laws, regulations, and agency rules.  The role includes a range of responsibilities, including but not limited to: continuously maturing the Company’s U.S. public sector ethics and compliance policies, processes, controls, and training; leading cross-functional teams and projects to address the ever-changing legal and regulatory landscape applicable to U.S. public sector contractors; and advising the Company in doing business in a legal, ethical, and compliant manner.  This role will also help negotiate U.S. public sector-related contracts and will play a pivotal role on the Company’s U.S. Public Sector Legal team.

You will work closely with the Global Ethics Team, Sales, Sales Operations, Information Security, Worldwide Operations, and Professional Services teams along with other members of the Legal Team. This position reports to the Director, Senior Corporate Counsel, Federal.

 Your Impact

• Mature and manage the Company’s program for compliance with the FAR, DFARS, and other applicable U.S. federal, state, and local government laws, regulations, and agency rules, including U.S. public sector ethics and compliance policies, processes, and controls.
• Act as the Company’s subject matter expert in U.S. public sector ethics and compliance, including in areas such as:  gifts and gratuities; conflicts of interest; interacting with U.S. public sector officials; revolving door rules;  public sector data privacy and information security; supply chain restrictions; and domestic sourcing requirements.
• Develop and roll out regular U.S. public sector ethics and compliance training.
• Track and regularly analyze the legal and regulatory landscape in which the Company transacts business with the U.S. public sector for risk.
• Work with cross-functional teams to design and execute U.S. public sector compliance projects for new or changing requirements (e.g., CMMC, Section 5949 of the FY2023 NDAA).
• Answer questions and resolve complex issues that arise regarding doing business with the U.S. public sector.
• Assist U.S. federal Sales team with U.S. federal government proposals, certifications, and other requirements.  
• Manage U.S. federal government-related representations and certifications and assist with meeting filing requirements for representations and certifications required by state and local government customers.
• Partner with the Global Ethics Team on Company-wide ethics and compliance efforts.
• Draft, review and negotiate a wide variety of technology (including cloud and hybrid SaaS models), intellectual property, channel, partner, customer, and product agreements, and other types of U.S federal government-related agreements. 

Qualifications

Your Experience 

• Be a lawyer qualified to practice in at least one U.S. state and have a law degree from a reputable law school.
• 8+ years of U.S. public sector compliance experience, including leading FAR/DFARS based compliance projects and programs. 
• Experience at a technology company is a plus.
• Extensive experience with the FAR/DFARS and other agency-specific rules.
