The Role:
Carrot seeks a talented, highly motivated, and mission-driven attorney with experience negotiating, reviewing and drafting a variety of commercial and privacy-related contracts to work cross-functionally to advise on and support Carrot’s commercial operations. This role will provide strategic advice and counsel to Carrot internal client groups on various legal concerns, including standard commercial legal clauses, data security and privacy matters while also identifying and explaining operational and revenue related risks for the business teams. You will promptly escalate high-risk legal issues as appropriate but will typically manage most contract legal matters from beginning to end. You will partner with the business terms to ensure efficient resolution of redlines and customer questions and will handle a high volume of contracts at all times.

You will join a collaborative team of legal professionals dedicated to working together to resolve the challenging legal problems faced by Carrot’s rapidly growing global business.
Minimum Qualifications:
- J.D. degree and membership in at least one U.S. state bar;
- 4+ years of legal experience, either in-house and/or at a law firm (preference for in-house counsel transactional experience at a health plan or at a startup);
- Strong grasp of contracting concepts and solid experience in drafting, negotiating and interpreting a wide range of commercial and vendor agreements, such as master services agreements, service level agreements, professional services agreement, non-disclosure agreements, and data sharing agreements;
- Flexibility and willingness to work on a broad variety of legal matters;
- Experience efficiently and tactically managing legal spend and relationships with outside counsel;
- Ability to effectively analyze and advise as to legal and regulatory risk with a focus on developing creative solutions to legal issues in order to support Carrot’s growth;
- Flexible and agile problem solver, with the ability to tolerate ambiguity in a fast-paced environment;
- Consistent record of thinking strategically and working across a complex matrix of global collaborators, providing strong legal analysis, but also practical business recommendations; and
- Experience counseling a sales organization.
Preferred Qualifications:
- Experience in the following areas:
- Drafting/negotiating commercial contracts with global companies
- Using contract lifecycle management software (esp., Ironclad)
- Data privacy laws and regulations, including GDPR, HIPAA, and CPRA.
- Experience drafting and negotiating complex multi-party agreements involving data sharing and data warehousing integration
- Intellectual Property
- Interest in fertility/reproductive policies in general and the differences that might arise depending on country and culture
- Knowledge of employee benefits, healthcare and/or pharmaceutical industries
Compensation:
Carrot offers a holistic Total Rewards package designed to support our employees in all aspects of their life inside and outside of work, including health and wellness benefits, retirement savings plans, short- and long-term incentives, parental leave, family-forming assistance, and a competitive compensation package. The starting base salary for this position will range from $160,000 - $190,000. Actual compensation may vary from posted base salary depending on your confirmed job-related skills and experience.
