About the Role  

Roku is seeking a Senior Counsel, Business and Legal Affairs (Corporate – Securities and Governance), with experience in public company reporting and corporate governance to join its Corporate Legal team. You will work closely with Roku’s Legal and cross-functional teams advising on a range of securities, governance, and transactional matters. A successful candidate must have experience representing U.S. public companies in securities and corporate governance matters at a leading law firm. The role requires an entrepreneurial mindset and the ability to work independently and as a member of a close-knit Corporate Legal team.

For California & New York Only - The estimated annual salary for this position is between $300,000 and $335,000 total annually. Compensation packages are based on factors unique to each candidate, including but not limited to skill set, certifications, and specific geographical location. This role is eligible for health insurance, equity awards, life insurance, disability benefits, parental leave, wellness benefits, and paid time off. 

What you’ll be doing 

  • Partner with cross-functional teams on SEC reporting and securities compliance matters, including support in connection with the preparation of periodic reports, proxy statements, and registration statements 
  • Manage Section 16 reporting, including Forms 3, 4, and 5, ensuring compliance with reporting requirements 
  • Advise on domestic corporate governance matters, as well as compliance with applicable securities laws and regulations and Nasdaq stock exchange rules 
  • Prepare materials for Board of Directors and committee meetings and the annual meeting of stockholders 
  • Advise on and administer certain corporate and executive policies and programs, such as the insider trading policy and Rule 10b5-1 plans 
  • Assist in providing legal support for Investor Relations and Corporate Communications, including reviewing press releases, white papers, presentations, and other marketing materials 
  • Assist with transactional matters, such as debt and equity financings, as the need arises 
  • Review, draft, and negotiate commercial agreements with service providers, vendors, landlords, and other third parties, as the need arises 

We’re excited if you have 

  • At least 5 years of experience providing legal advice in most of the areas mentioned above 
  • Experience practicing as a securities, corporate governance, or capital markets attorney at a leading law firm 
  • Proficiency in U.S. securities and corporate laws, corporate governance, and board governance matters, including best practices 
  • Significant experience with coordination and timely filing of disclosure documentation with the SEC and stock exchanges 
  • Strong written and oral communication skills 
  • An ability to apply skills to develop expertise in areas outside of existing skill set 
  • An ability to thrive in a fast-paced environment, utilizing effective organizational skills to prioritize and manage deadlines for multiple simultaneous projects for multiple stakeholders 
  • An ability to work collaboratively in a cross-department, cross-functional role 
  • A willingness to actively suggest process improvements in the course of completing assignments 
  • Willingness to assume increasing responsibility and roll up sleeves (no job too big, no job too small) 
  • A Bachelor’s degree and a Juris Doctorate degree from a U.S. accredited law school
