Compensation includes a base salary of $175,300.00 - $292,100.00. The base salary may vary within the anticipated base pay range based on factors such as the ultimate location of the position and the selected candidate’s knowledge, skills, and abilities. Position may be eligible for additional compensation that may include an incentive program.

Job Description

Cox Enterprises is currently looking for a Senior Corporate Counsel, Procurement and Commercial Transactions to join our team in Atlanta, Georgia. 

The Role:

The Senior Corporate Counsel serves as a legal partner to Cox’s enterprise-wide Supply Chain organization supporting Cox Enterprises, Cox Communications, and Cox Automotive procurement matters.  This senior-level, independent attorney will lead legal support for a broad portfolio of vendor agreements, providing legal advice, drafting and negotiating contracts, assisting with risk mitigation and compliance, and managing outside counsel.

This position reports to the Assistant Vice President/Associate General Counsel for procurement transactions within the Cox Enterprises Law and Policy department.  The legal department operates in a hybrid work environment. 

Responsibilities:

  • Lead legal support for a variety of vendor agreements, supporting many of Cox’s largest and most strategic deals. Supports a broad portfolio of contracts, including for technology (hardware, software, and cloud technology) and services (professional and facility).

  • Advise and provide guidance on legal risks and exposures, providing creative and legally sound solutions for risk mitigation and resolution of issues presented in contract negotiations. This includes working with multiple groups and business partners to understand issues and develop strategies.

  • Identify issues and partner with applicable subject matter experts for guidance, including other in-house attorneys (ex. Cox employment, litigation, privacy, and IP counsel teams), Supply Chain, Information Security, Risk Management, Finance, and internal business stakeholders to ensure exceptional legal service and anticipate needs during contract negotiations.

  • Balance competing business and legal priorities while delivering support to a wide range of business partners.

  • Serve as a strategic partner to drive results for the business and identify legal and process improvements to create value, eliminate cost and waste, and reduce risk for the company.  Act with a flexible approach to align with the different goals and risk profiles for the many different companies our team supports within the Cox Enterprises portfolio.

  • Establish and maintain detailed knowledge of Cox’s products/services/brands and the nuances of Cox’s relationship with its largest and most strategic vendors and partners.

  • Identify and help address difficult problems or inefficient operations requiring developing and evaluating options, providing advice, and implementing solutions in the context of complex and significant transactions that often have company-wide impact; may have to respond and adapt to changing conditions or circumstances, requiring enterprise alignment and new approaches.

  • Train and indirectly manage junior attorneys, paralegals, interns, and other resources and assist in their development and growth.

  • Effectively manage outside counsel to ensure efficient and cost-effective legal support.

  • Develop and implement contract template and playbook updates, with a focus on creating a more efficient contracting process.

Qualifications: 

  • Juris doctor (JD) degree from an accredited law school and active license to practice law in at least one state. 

  • 8+ years of legal experience, with strong emphasis on transactional practice.

  • Proven experience providing legal counsel to clients, including drafting and negotiating a wide variety of commercial agreements.

  • Ability to manage outside counsel.

  • Ability to partner with subject matter experts and other in-house attorneys to provide seamless experience to internal clients to address and resolve legal issues.
