THE ROLE

The successful candidate will be part of the in-house legal team as Senior Manager (Staff Attorney) for Legends, serving its various domestic and international business lines (hospitality, merchandise, eCommerce, sales and marketing, attractions, project development, and corporate).  

ESSENTIAL DUTES AND RESPONSIBILITIES

  • Oversee and advise on all legal activity related to all types of acquisitions, partnerships, investments, joint ventures, and divestitures.
  • Coordinate both internal and external parties to effectively negotiate and execute deals from NDAs through post-completion integration (or transition services).
  • Lead due diligence and integration of acquired businesses for legal function, including coordination with other company functions
  • Structure, draft (or review), and negotiate various transaction-related agreements, including purchase agreements, stockholder/operating agreements, and employment agreements.
  • Coordinate with (and often lead) colleagues in other areas within the company’s legal team, other functions and business units within company, and outside counsel (in the United States and abroad) on all related matters, including due diligence, deal structuring, competition law compliance, internal (including Legends’ Board) approvals, securities law-related matters, negotiating agreements, closing transactions and post-completion matters.
  • Maintain and enhance a repository of business legal resources that are required for company business needs or will enhance efficiencies in managing multiple, simultaneous transactions.
  • Maintain and enhance record-keeping system of the company’s business legal and transactional documents.
  • Report to Chief Legal Officer and Senior Vice President, General Counsel.

SUPERVISORY RESPONSIBILITIES

Carries out supervisory responsibilities in accordance with all Legends & ASM policies and applicable laws. Responsibilities include interviewing, hiring, and training employees; planning, assigning, and directing work; appraising performance; rewarding and disciplining employees; addressing complaints and resolving problems.

QUALIFICATIONS

EDUCATION AND/OR EXPERIENCE     

  • Juris doctor degree and admission to state bar (current, or become admitted shortly)
  • At least five to eight years of experience as a practicing attorney for corporate and securities law, with significant experience representing clients involved in investing in, acquiring, integrating and disposing businesses in the United States and abroad. This includes planning and executing due diligence reviews; structuring, negotiating and completing transactions (including related financing); structuring, negotiating and entering into stockholder/ operating agreements and agreements for ongoing employment with founders and other key employees.
  • Corporate in-house experience for global public companies preferred. Experience in sports, entertainment, media companies, and technology companies including but not limited to emerging platforms related thereto.
